Why is the CCC Transaction being Investigated?

In the October 15, 2026 announcement of the merger, CCC Intelligent Solutions Inc. disclosed that it was being taken private by a coalition of purchases led by GTRC LLC and including Elliott Investment Management L.P.

At the same time, CCC disclosed that its Chairman Githesh Ramamurthy and its President Tim Welsh had entered into agreements to roll their equity (a “rollover”) into the surviving post-merger entity. In April of 2026, Githesh Ramamurthy and Tim Welsh collectively owned over 36.8 million shares of CCC common stock, comprising approximately 6.1% of the total outstanding stock. The opportunity to rollover is not being extended to any public stockholders of CCC.

The closing of the merger is conditioned on majority approval of the outstanding shares of CCC common stock.

BFA is investigating whether the terms of the merger comply with Delaware law, including whether the rollover represents a breach of fiduciary duty, and whether the per share price is a fair price for the public stockholders’ shares of CCC stock.
