SUNNYVALE, Calif.--(BUSINESS WIRE)--Knightscope, Inc. (NASDAQ: KSCP), the security technology company building the nation's first Autonomous Security Force, today announced that on September 30, 2026, the Compensation Committee of the Company's Board of Directors approved the grant of non-qualified stock options to purchase an aggregate of 789,444 shares of the Company's Class A common stock to 107 newly hired employees. The options were granted under the Knightscope, Inc. 2025 Inducement Plan as an inducement material to each employee entering employment with the Company, in accordance with Nasdaq Listing Rule 5635(c)(4).

Each option has an exercise price equal to the closing price of the Company's Class A common stock on the Nasdaq Capital Market on September 30, 2026, the grant date. The options vest over four years, with 25% of the shares vesting on the first anniversary of the grant date and the remaining 75% vesting in equal monthly installments over the following 36 months, subject to the employee's continued employment with the Company through each vesting date. The options are subject to the terms and conditions of the 2025 Inducement Plan and a stock option award agreement covering each grant.
