DigitalBridge Group Announces Change of Control Conversion Rights for Series I Preferred Stock

BOCA RATON, Fla.--(BUSINESS WIRE)--DigitalBridge Group, Inc. (“DigitalBridge”), a leading global investor in digital infrastructure, today announced that, as a result of its acquisition by affiliates of SoftBank Group Corp. on September 30, 2026, holders of its 7.15% Series I Cumulative Redeemable Perpetual Preferred Stock (the “Series I Preferred Stock”) will have the right, until the close of business on October 22, 2026, to convert each share of Series I Preferred Stock into $14.43 in cash (the “Change of Control Conversion Right”). Thereafter, holders of Series I Preferred Stock will no longer have the right to exercise the Change of Control Conversion Right in connection with the acquisition of DigitalBridge by affiliates of SoftBank Group Corp. (the “Transaction”) and the holders' shares of Series I Preferred Stock will remain outstanding.

Additional information regarding the conversion is included in a Notice of Change of Control that has been distributed to holders of Series I Preferred Stock. As disclosed in the Company’s current report on Form 8-K filed on September 30, 2026, the Company intends to issue separate notices to holders of the Series H Preferred Stock on October 7, 2026 and to holders of the Series J Preferred Stock on October 14, 2026 in connection with their change of control conversion rights.

The terms and conditions of each series of preferred stock will remain unchanged for any shares that are not converted pursuant to the change of control conversion right in connection with the Transaction.
