AltaLink Announces Court of King’s Bench Approves Internal Reorganization

CALGARY, Alberta--(BUSINESS WIRE)--AltaLink, L.P. (“ALP”) is pleased to announce that BHE AltaLink Ltd. (“BHEAL”) has obtained the final order (the “Final Order”) from the Court of King’s Bench of Alberta (the “Court”) approving its previously announced internal reorganization (the “Internal Reorganization”). The Internal Reorganization will be completed by way of a plan of arrangement (the “Plan of Arrangement”) under the Business Corporations Act (Alberta).

Subject to the satisfaction or waiver of the other conditions to closing contained in the arrangement agreement dated July 9, 2026 (the “Arrangement Agreement”), among ALP, BHEAL and certain other wholly-owned direct or indirect subsidiaries of BHEAL (collectively, the “AltaLink Entities”), as amended by the amending agreement dated August 27, 2026 (the “Amending Agreement”), the Internal Reorganization is expected to be completed on October 1, 2026.

The Internal Reorganization will result in, among other things, AltaLink Ltd. (being the successor to ALP and certain AltaLink Entities under the Plan of Arrangement) becoming the regulated transmission utility and holding, directly or indirectly, all of the assets and liabilities presently held by ALP. Each of the entities involved in the Internal Reorganization are direct or indirect wholly-owned subsidiaries of BHEAL.

A copy of the Final Order will be provided to relevant third parties in connection with the Internal Reorganization and will be made available under ALP’s profile on SEDAR+ and ALP’s website, www.altalink.ca. Further details regarding the Internal Reorganization are set out in the notice of originating application, amended notice of originating application, and originating application filed with the Court in connection with the Internal Reorganization, the Arrangement Agreement, the Amending Agreement and the Plan of Arrangement (attached as Schedule “A” to the Amending Agreement), each of which are also available under ALP’s profile on SEDAR+ and ALP’s website, www.altalink.ca.
