Complaint Allegations

On April 3, 2026, a federal court partially denied a motion to dismiss a securities fraud lawsuit involving DICK’S, allowing certain claims concerning alleged misrepresentations about inventory to proceed. The complaint alleges that defendants issued materially false and/or misleading statements and/or failed to disclose that demand for products in DICK’S outdoor segment was slowing faster than represented, resulting in excess inventory; purported structural improvements did not allow the Company to manage excess inventory without harming profitability; the need to liquidate excess inventory would negatively affect profitability; and, as a result, defendants’ statements about the Company’s business and prospects were materially false and misleading.
