Origin Materials Announces Results of Special Stockholder Meeting and Proxy Vote

WEST SACRAMENTO, Calif.--(BUSINESS WIRE)--Origin Materials (“Origin”) (formerly, NASDAQ: ORGN, ORGNW) today announced the official voting results from its special meeting of stockholders (the “Special Meeting”), held on August 12, 2026. Stockholders voted to approve management’s proposal.

Present at the Special Meeting via remote communication or by proxy were the holders of 2,099,067 shares of common stock of the Company and the holder of one share of Series A Junior Preferred stock, collectively representing 69.07% of the voting power of all outstanding shares of the Company’s capital stock as of the close of business on July 8, 2026, the record date for the Special Meeting, which constituted a quorum for transacting business.

At the Special Meeting, the Company’s stockholders voted to approve the Dissolution Proposal, which is described in more detail in the Company’s definitive proxy statement on Schedule 14A filed with the U.S. Securities and Exchange Commission on July 20, 2026 (the “Proxy Statement”). The following is a brief description of the Dissolution Proposal voted upon and the certified results, including the number of votes cast for or against and, if applicable, the number of votes withheld, abstentions, and broker non-votes with respect to that proposal.

  • To approve the liquidation and dissolution of the Company, or the Dissolution, pursuant to the Amended and Restated Plan of Complete Liquidation and Dissolution, or the Plan of Dissolution, which, if approved, will authorize the Company to liquidate and dissolve the Company in accordance with the Plan of Dissolution. This proposal is referred to as the “Dissolution Proposal.” The voting results were as follows:
