CELH Investor Alert: Levi & Korsinsky Notifies Investors of Investigation Into Celsius Holdings (CELH)

On the August 7, 2025 earnings call, Celsius Holdings management described "continued positive momentum" in the core Celsius brand and a 51.5% gross margin. One year later, the Company later reported a roughly 12% core-brand revenue decline and a 48.1% gross margin.

NEW YORK--(BUSINESS WIRE)--Celsius Holdings (NASDAQ: CELH) shareholders absorbed a sharp decline after the Company reported second-quarter revenue of $817.9 million against consensus estimates of more than $870 million, with core Celsius brand revenue down nearly 12%. If you lost money on CELH, you are encouraged to submit your information for a free case evaluation. You may also contact Joseph E. Levi, Esq. via email at jlevi@levikorsinsky.com or by telephone at (212) 363-7500.

Celsius highlighted a weaker margin during its first quarter report, dated May 7, 2026. The company pointed to “the addition of Alani Nu and Rockstar Energy, both of which had a lower margin profile upon acquisition” for the soft 48.3% margin.

On August 6, 2026, Celsius reported its second quarter earnings and conceded margins continued to decline to 48.1% for the quarter. The company noted “improvements” to the integration of Alani Nu and Rockstar, but noted that failed to offset “higher promotional and incentive activity.”

EPS figures declined in accord, as “[d]iluted earnings per share for the second quarter of 2026 was $0.14 compared to $0.33 for the prior year period” and $0.33 in the previous quarter; non-GAAP adjusted diluted earnings told a similar picture, with the Company reporting “$0.36 compared to $0.47 for the prior-year period,” and $0.41 in the previous quarter.

Investors who purchased Celsius Holdings shares and suffered a loss are encouraged to contact Levi & Korsinsky about their legal rights, or reach Joseph E. Levi, Esq. at jlevi@levikorsinsky.com or (212) 363-7500.

Frequently Asked Questions About the CELH Investigation

Q: Which statements are being investigated as potentially misleading? A: The investigation concerns whether Celsius Holdings made materially false or misleading statements regarding the performance and trajectory of its core Celsius brand, the anticipated timeline of its ongoing optimization project, and its reported margins. When the Company disclosed second-quarter results that missed analyst expectations, the stock price declined sharply.

Q: When did Celsius Holdings allegedly mislead investors? A: The investigation concerns statements made before the corrective disclosure that allegedly caused investors to purchase securities at inflated prices, including statements on the August 7, 2025 earnings call.

Q: Who is eligible to participate in the CELH investigation? A: Investors who purchased CELH stock or securities and suffered financial losses may be eligible. Eligibility is based on purchase date and documented losses -- not on whether you still hold the shares.

Q: What do CELH investors need to do right now? A: Gather brokerage records including purchase dates, share quantities, and prices paid. Contact Levi & Korsinsky for a free, no-obligation evaluation at jlevi@levikorsinsky.com or (212) 363-7500.

Q: What documents do I need to participate? A: Brokerage statements or trade confirmations showing purchase dates, share quantities, prices paid, and any subsequent sale dates and prices.

Q: What if I already sold my CELH shares -- can I still recover losses? A: Yes. Eligibility is based on when you purchased, not whether you still hold the shares. Investors who bought CELH and sold at a loss may still participate in the investigation.

Q: What does it cost me to participate? A: There is no upfront cost to participate. Securities investigations and any resulting actions are generally handled on a contingency basis. No upfront fees, no retainer, and no out-of-pocket costs.

Q: Do I need to go to court or give testimony? A: No. Participating in the investigation does not require court appearances or depositions.
