Recently a securities fraud complaint was filed against Ardent on behalf of certain investors who purchased shares of the company’s stock between July 18, 2024 and November 12, 2025 (the “Wrongdoing Period”). According to the complaint, during the Wrongdoing Period, Ardent and certain of its senior executive officers made a series of materially false and misleading statements to investors concerning Ardent’s business, operations, and prospects.

As detailed in the complaint, on November 12, 2025, Ardent revealed it had completed “hindsight evaluations of historical collection trends” that resulted in a $43 million decrease in revenue for the quarter. Ardent also revealed that it increased its professional liability reserves by $54 million because of “adverse prior period claim developments” resulting from a set of claims between 2019 and 2022 “as well as consideration of broader industry trends.” On this news, shares of Ardent stock fell $4.75 per share, or nearly 34% in value, to close at $9.30 per share on November 13, 2025, on unusually heavy trading volume.

The investigation seeks to determine whether the members of Ardent’s board of directors violated the securities laws and/or breached their fiduciary duties in connection with the above alleged misconduct.
