Sterlington Advises Management Team of Aligned Data Centers on Completion of its Landmark US$40 Billion Transaction

NEW YORK--(BUSINESS WIRE)--Sterlington advised the management team of Aligned Data Centers on the sale of the company to a consortium of investors. The transaction has closed and implies an Aligned enterprise value of approximately $40 billion, making it the largest data center acquisition in history.

Sterlington advised Aligned's management on all aspects of the transaction, including the bespoke equity arrangements and compensation matters.

Sterlington has been at the center of digital infrastructure's biggest moments, advising Vantage Data Centers' management on its award-winning $9.2 billion equity raise; the management of DigitalBridge, the world's leading digital infrastructure asset manager, on its $4 billion take-private; IHS Towers’ management team on its proposed $6.2 billion sale; and the management team of Csquare on its NYSE listing, the largest data center company to IPO this year. This track record underscores the momentum in a sector where Sterlington has earned a reputation as go-to counsel for management teams and senior executives.

Executive Compensation partner Jeremy L. Goldstein and M&A partner Christopher S. Harrison led the Sterlington team, which included partners Michael Gilligan, Audry Casusol and Evan Coren.

Aligned is one of the largest and fastest-growing data center developers globally, with a portfolio spanning 51 campuses and more than 6.4GW of operational and planned capacity. Aligned is headquartered in Dallas, Texas.

The buyers included AI Infrastructure Partnership (AIP), MGX, and BlackRock's Global Infrastructure Partners (GIP); AIP was formed in September 2024 by BlackRock, GIP, MGX, Microsoft, and NVIDIA.
