Appointment of a Retail Director

The Company is pleased to confirm that Mark Loughborough has today joined the board as Retail Director, as announced on 18 May 2022.

Notes:

On appointment Mark holds an award over 3,118 A shares which were granted to him under the Company’s Long Term Inventive Plan. The award is in the form of a nil-cost option and no monetary consideration was paid for the award. The award is subject to performance conditions which are based two-thirds on the extent to which the company’s adjusted earnings per share in respect of the financial year ended on or around 31 March 2025 exceed the same measure for the financial period ended 28 March 2022 and one-third on total shareholder return relative to a comparator group of the company’s peers. Ordinarily this award will vest on 29 June 2025 and become exercisable subject to continued employment with the Company and the extent to which the performance conditions are met.

Mark also holds an option over 765 A shares which were granted to him under the Company’s Savings-Related Share Option Scheme. The option price per share is 1,176p. Ordinarily this option will not be exercisable until 1 February 2025 and will lapse six months later to the extent not exercised.

Mark was a designated member of Silver Monkey Events Limited when it was dissolved by voluntary strike off on 23 October 2018, and a director of Red Gorilla Limited when it was dissolved by creditors voluntary liquidation on 8 January 2011. These were both small businesses founded by Mark.

Mark’s full name is Mark Julian Loughborough and he is 50 years old.

There are no further matters that require disclosure in accordance with rule 17 of, and paragraph (g) of Schedule Two to, the AIM Rules.
