Dialyze Direct Signs Letter of Intent to Acquire Compass Home Dialysis

BROOKLYN, N.Y.--()--Dialyze Direct, the nation’s leading provider of home hemodialysis services in skilled nursing facilities (SNFs), announced today that it has signed a letter of intent (LOI) to acquire Compass Home Dialysis, a regional dialysis provider in Pennsylvania with on-site dialysis services in nine SNFs as well as an outpatient dialysis clinic.

The proposed acquisition comes on the heels of Dialyze Direct’s recent acquisition of Renew Dialysis, a regional SNF dialysis provider in Ohio and Virginia, and solidifies its position as the leading SNF dialysis provider in the U.S. with on-site dialysis services in more than 130 SNFs across 13 states prior to the proposed transaction.

“We are very pleased that Compass presented us with this strategic opportunity, and we believe that their commitment to ensuring a consistently superior patient experience makes them an ideal partner as we continue to expand the Dialyze Direct footprint,” said Henry Kauftheil, Chief Executive Officer and Co-Founder of Dialyze Direct.

The proposed transaction represents a strong strategic fit aligned with Dialyze Direct’s vision and accelerates Dialyze Direct’s nationwide growth. The proposed acquisition is also expected to achieve operating synergies and cost savings in the integration of the acquired business.

“Compass is a dialysis provider with a patient-first approach to care, and we believe that Dialyze Direct is the right partner to take our patient care model to the next level in order to meet the unique needs of today’s underserved market,” said Efraim Elchonen, Compass’s Chief Executive Officer. “The company and team that we built here at Compass is defined in its commitment to care, and this opportunity will stand to embolden that resolve through the strength and leadership of the Dialyze Direct brand,” said Jeremy Graves, Compass’s Chief Operating Officer.

“We are confident that Compass’s patients will receive the highest caliber of care from Dialyze Direct,” added Ari Karoly, Partner at Walnut Court Capital, Compass’s financial sponsor. “We are excited to partner with the industry leader in the SNF home dialysis market given their extensive hospital and payor relationships and their national scale.”

The LOI sets out the principal terms on which the parties have agreed to complete the proposed transaction. Subject to customary approvals and confirmatory due diligence, the parties intend to enter into a definitive agreement with respect to the transaction on or before February 28, 2022.
