Nardello & Co. Announces New Advisory Board Members

NEW YORK--()--Nardello & Co. LLC, a leading global investigations firm, today announced that Michael Goroff and Xenia Kazoli have joined the firm’s Advisory Board. The Advisory Board is comprised of leading professionals with extensive expertise in corporate, legal, regulatory and investigative matters in both the public and private sectors who provide strategic counsel to Nardello & Co.’s executives as the firm continues to grow its capabilities and client base.

Mr. Goroff and Ms. Kazoli each practiced corporate law at leading firms for over 20 years and each have extensive expertise advising on complex, multinational matters. Mr. Goroff is a transaction lawyer, advising on M&A and private equity matters, and in recent years has also worked in or for NGOs and impact-oriented enterprises and investors. Ms. Kazoli, in addition to her transactional experience in capital markets and mergers and acquisitions in global markets, has served as legal counsel in corporate governance, regulatory compliance and policy and regulatory reform.

Biographies

Michael Goroff

Michael Goroff is an independent corporate lawyer, business advisor and entrepreneur. Until 2007, he was a partner at Milbank Tweed Hadley & McCloy in New York and London, where he focused on public and private M&A and financially complex private equity transactions. Michael began his career at Wachtell Lipton Rosen & Katz, joining Milbank as a partner in 1992.

Since 2007, Mr. Goroff has engaged in a mix of business and mission-driven activities, in legal and non-legal roles. He has been involved in several early-stage or impact-oriented enterprises as a founder, investor, advisor or lawyer. He also spent three years as a Senior Managing Director at Avenue Capital in a non-legal role on two SPAC transactions.

Mr. Goroff has, in parallel, devoted substantial time to global health, international development and anti-poverty matters. He obtained a graduate degree in global public health, held a post-graduate research fellowship, and served as a consultant to related public and private entities and projects. He has had roles in mission-driven enterprises and directs mission-driven venture investing for a substantial family foundation. He is a member of the Board of BRAC USA, the US affiliate of one of largest anti-poverty NGOs in the world and has participated in strategic and governance initiatives involving BRAC on a global basis.

Mr. Goroff received his AB from Harvard College and his JD from Harvard Law School, where he was an editor of the Harvard Law Review. He received a Master of Public Health in Global Health from Harvard, where he was subsequently a Takemi Fellow in International Health.

Xenia Kazoli

Xenia Kazoli is an experienced international lawyer. She has completed large and complex transactions in multinational environments, advised the governments of Greece, Italy, France, Spain and Portugal in privatizations and offerings, as well as advised clients on EU financial regulations and corporate governance. Most recently, Ms. Kazoli was a senior advisor at Nestor Advisors, where she advised on legal assessment policy, corporate governance and regulatory compliance and reform for institutions, sovereigns and corporations. Until 2015, Ms. Kazoli was a counsel at Allen & Overy LLP, where she spent 15 years specializing in international debt and equity offerings and advising on privatizations and cross border transactions. Prior to this was, she was practicing with Skadden Arps Slate Meagher & Flom LLP in their Paris and London offices.

Ms. Kazoli is a member of the Board of the Athens Exchange, a member of the Board and the Committee of the Hellenic Corporate Governance Council, a member of the Supervisory Board of the Hellenic Company of Assets and Participations and a member of the Advisory Board of the NGO DESMOS. She represents Greece at the International Chamber of Commerce’s Commission of Anti-Corruption and Corporate Social Responsibility. Ms. Kazoli is also the co-founder of Corporate Governance Hub 2020, a non-profit promoting corporate governance and diversity in boards.

Ms. Kazoli received her JD from the National and Kapodistrian University of Athens and her LLM from George Washington University. She is admitted to the bars of New York, Paris and Athens.
