Spectra7 Announces Non-Brokered Private Placement

First Tranche Closing of $1,211,976

TORONTO--()--(TSX:SEV) Spectra7 Microsystems Inc. (“Spectra7” or the “Company”), a leading provider of high-performance analog semiconductor products for broadband connectivity markets, announces a non-brokered private placement of up to 100,000,000 common shares in the capital of the Company (the “Common Shares”) at a price of $0.015 per Common Share for gross proceeds of up to $1,500,000.00 (the “Private Placement”). On March 10, 2020, the Company closed the first tranche of the Private Placement pursuant to which an aggregate of 80,798,400 Common Shares were issued.

All dollar amounts in this news release are denominated in Canadian dollars unless otherwise indicated.

The net proceeds from the Private Placement are and will be used for research and development, working capital and general corporate purposes.

Insiders of the Company participated in the first tranche of the Private Placement for an aggregate amount of approximately $609,336. Pursuant to Multilateral Instrument 61-101 Protection of Minority Security Holders in Special Transactions (“MI 61-101”), the Private Placement constitutes a “related party transaction” as insiders of the Company subscribed for Common Shares. The Company is relying on exemptions from the formal valuation and minority approval requirements of MI 61-101. The Private Placement was approved by all of the independent directors of the Company.

The closing of the Private Placement is subject to certain conditions including, but not limited to, the receipt of all necessary approvals including the approval of the Toronto Stock Exchange.
