This press release contains forward-looking information that is based upon assumptions and is subject to risks and uncertainties as indicated in the cautionary note contained within this press release. All dollar amounts are in Canadian dollars unless otherwise indicated.

TORONTO--(BUSINESS WIRE)--Dream Industrial Real Estate Investment Trust (DIR.UN-TSX) or (the “REIT” or “Trust” or “Dream Industrial REIT” or “Dream Industrial” or “DIR” or “we” or “us”) today announced its financial results for the three and nine months ended September 30, 2026. Management will host a conference call to discuss the financial results on November 4, 2026 at 11:00 a.m. (ET).

“Our third quarter results reflect the breadth of Dream Industrial’s growth drivers. Across the industrial platform we signed over 2.6 million square feet of leases this quarter at a weighted average rental spread of 32.3%, driving organic NOI growth of 8.5%. We had robust investment activity – not only are we gradually deploying our balance sheet capacity through $569 million of accretive acquisitions since the beginning of 2026, we are also adding scale to our private ventures through more than $1 billion of investment activity year-to-date. We made significant progress on our development and repositioning program with strong leasing activity across our development projects. Together, these initiatives strengthen the quality and reach of our portfolio while positioning the Trust to compound cash flow and create long-term value for unitholders,” said Alexander Sannikov, President & Chief Executive Officer of Dream Industrial REIT.

ORGANIC GROWTH

  • Solid pace of CP NOI (constant currency basis)(1) growth – CP NOI (constant currency basis) for the three and nine months ended September 30, 2026 was $104.1 million and $303.5 million, respectively. For the same periods in 2025, CP NOI (constant currency basis) was $95.9 million and $279.7 million, respectively. This represents an increase of 8.5% for both the three and nine months ended September 30, 2026, respectively, compared to the prior year comparative periods.
  • Continued growth in net rental income for the quarter – Net rental income for the three and nine months ended September 30, 2026 was $103.0 million and $303.2 million, respectively, representing an increase of $4.6 million or 4.7%, and $18.3 million or 6.4%, respectively, compared to the comparative prior year periods. For the quarter, year-over-year net rental income increased by 6.6% in Ontario, 15.7% in Québec, 24.1% in Western Canada and 12.8% in Europe, excluding disposed investment properties. The increase was mainly driven by strong CP NOI (constant currency basis) growth and acquisitions over the past year, completion and lease-up at the Trust’s development projects and growth in net property management income.
  • Strong occupancy levels – The Trust’s in-place occupancy for its Canadian portfolio increased to 95.5% as at September 30, 2026 compared to 93.5% as at September 30, 2025, primarily driven by the lease-up of several vacancies in Québec and its recently completed 20-acre development in Alberta.

The Trust’s in-place occupancy for its European portfolio was 93.0% as at September 30, 2026 compared to 95.4% as at September 30, 2025, primarily driven by the acquisition of a 163,000 square foot vacant asset earlier in the year in the Netherlands as part of the Trust’s value-add strategy, and an anticipated 273,000 square foot vacancy in Spain. The leasing pipeline at the vacancy in Spain and our newly acquired asset remains strong with multiple negotiations for the entire vacancy.

The Trust’s in-place occupancy across its wholly-owned and managed portfolio (at the Trust’s share) was 94.1% as at September 30, 2026, in line with the comparative prior year quarter.
  • Continued strong leasing momentum at attractive rental spreads – Since the beginning of the year through to October 31, 2026, the Trust transacted on 4.6 million square feet of leases across its wholly-owned portfolio at a weighted average rental rate spread of 22.9% over prior or expiring rents, including 1.7 million square feet of new leasing activity. Across the broader industrial platform, the Trust has executed approximately 8.1 million square feet of leasing, including the lease-up of recently completed developments, demonstrating sustained demand across the Trust’s operating markets.

From July 1, 2026 through to October 31, 2026, the Trust has transacted over 1.6 million square feet of leases across its wholly-owned portfolio at a weighted average rental rate spread of 32.4% over prior or expiring rents.

DEVELOPMENT LEASING UPDATE

Since the start of the quarter, the Trust has finalized over 179,000 square feet of leasing at its recently completed, wholly-owned redevelopment project in Whitby, Ontario, increasing committed occupancy to approximately 50% across two tenants. In addition, the Trust is in advanced negotiations for 210,000 square feet of leasing that would bring the property to full occupancy. Upon completion of leasing, the project is expected to achieve an unlevered yield on cost of approximately 6.2%

Additionally, the Trust continues to advance the five development projects acquired from Chancerygate Group Limited (“Chancerygate”) earlier in the quarter. At the substantially complete development in West Sussex, United Kingdom (“UK”), a 34,000 square foot lease commenced during the quarter with a 10-year term, increasing project occupancy to 32%. Across the wholly-owned development portfolio, approximately 60,000 square feet of prospective leases are under offer or progressing through advanced request for proposal stages, reflecting continued pre-leasing momentum.

See Figure 2, West Sussex, U.K.

ACQUISITIONS AND DISPOSITIONS UPDATE

During the quarter, the Trust completed $473.3 million of acquisitions of urban infill mid-bay industrial assets across its portfolio, comprised of $316.8 million of income-producing assets in Canada and Europe and $156.5 million of development assets and co-investment interests acquired as part of the previously announced Chancerygate transaction.

Upon stabilization, the Trust expects the wholly-owned development projects acquired from Chancerygate to generate an unlevered yield on cost of approximately 8.0%, while its minority interests in the private ventures are expected to achieve stabilized cap rates in excess of 7.5%.

The acquisitions of income-producing assets were completed at a weighted average going-in NOI yield of 6.1%, with mark-to-market upside expected to increase the yield to 6.8% and include acquisitions in Germany and a new acquisition in Calgary.

In Calgary, Alberta, the Trust acquired a modern logistics asset for $123.8 million comprised of two buildings and is 100% leased to four-tenants across 686,000 square feet, and includes two acres of excess land that can be activated for future intensification opportunities. Completed in 2024, the property features modern logistics specifications, including 36-foot clear heights and 116 dock-level doors, positioning it to accommodate a diverse range of industrial users.

See Figure 3, Calgary, Alberta

See Figure 4, Frankfurt, Germany

During the quarter, the Trust closed on the sale of a non-strategic asset located in Richmond Hill, Ontario, for $11 million, a 13% premium to its previous carrying value.

STRATEGIC PRIVATE VENTURES UPDATE

The Trust continues to actively deploy capital alongside its partners, adding high-quality industrial product within its private ventures while adding scale to its property management and leasing platform. Since the beginning of 2026, the Trust’s private ventures have completed over $1 billion of acquisitions. Net property management and other income for the three months ended September 30, 2026 was $3.3 million, representing an increase of $0.7 million or 28.8% year-over-year.

During the quarter, the DSI JV acquired a 15-building industrial portfolio totalling 1.5 million square feet located in Edmonton, Alberta for a purchase price of $219.0 million ($21.9 million at the Trust’s share). The portfolio is nearly fully leased to a diverse group of 39 tenants, offering a highly functional layout with 24- to 32-foot clear heights that suit a variety of tenant requirements.

Subsequent to the quarter, the DCI JV completed the acquisition of an industrial portfolio in the Greater Toronto Area (“GTA”) for $585.8 million ($58.6 million at the Trust’s share). The portfolio comprises five newly developed mid- and large-bay logistics assets totalling 2.1 million square feet of GLA. The portfolio is fully leased to a roster of strong national and international companies, generating stable in-place income, with the opportunity to drive value through executing on embedded mark-to-market rental growth potential. Built between 2020 and 2024, the properties feature 36- to 40-foot clear heights, ample trailer parking and a loading ratio of one door per 8,000 square feet, positioning them to accommodate both mid- and large-bay occupiers.

Non-GAAP financial measures, ratios and supplementary financial measures

The Trust’s condensed consolidated financial statements are prepared in accordance with IFRS Accounting Standards as issued by the International Accounting Standards Board (“IFRS Accounting Standards”). In this press release, as a complement to results provided in accordance with IFRS Accounting Standards, the Trust discloses and discusses certain non- GAAP financial measures and ratios, including FFO, diluted FFO per Unit, FFO payout ratio, CP NOI (constant currency basis), total debt, net total debt-to-total assets (net of cash and cash equivalents) ratio, net total debt, total assets (net of cash and cash equivalents), net total debt-to-normalized adjusted EBITDAFV ratio, adjusted EBITDAFV, normalized adjusted EBITDAFV – annualized, interest coverage ratio, available liquidity, total equity (including LP B Units), secured debt as a percentage of total debt, and NAV per Unit as well as other measures discussed elsewhere in this press release. These non-GAAP financial measures and ratios are not defined by IFRS Accounting Standards and do not have a standardized meaning under IFRS Accounting Standards. The Trust’s method of calculating these non-GAAP financial measures and ratios may differ from other issuers and may not be comparable with similar measures presented by other issuers. The Trust has presented such non-GAAP financial measures and ratios as Management believes they are relevant measures of the Trust’s underlying operating and financial performance. Certain additional disclosures such as the composition, usefulness and changes, as applicable, of the non-GAAP financial measures and ratios included in this press release have been incorporated by reference from the management’s discussion and analysis of the financial condition and results from operations of the Trust for the three and nine months ended September 30, 2026, dated November 3, 2026 (the “Q3 2026 MD&A”) and can be found under the sections “Non-GAAP Financial Measures” and “Non-GAAP Ratios” and respective sub-headings labelled “Funds from operations (“FFO”)”, “Diluted FFO per Unit”, “FFO payout ratio”, “Total distributions”, “Comparative properties net operating income (“CP NOI”) (constant currency basis)”, “Net total debt-to-total assets (net of cash and cash equivalents) ratio”, “Net total debt-to- normalized adjusted EBITDAFV ratio (years)”, and “Interest coverage ratio”, “Secured debt as a percentage of total debt”, “Available liquidity”, “Total equity (including LP B Units or subsidiary redeemable units)”, “Total debt”, “Net asset value (“NAV”) per Unit”, “Net total debt and total assets (net of cash and cash equivalents)” and “Adjusted earnings before interest, taxes, depreciation, amortization and fair value adjustments (“Adjusted EBITDAFV”) and Normalized adjusted EBITDAFV – Annualized”. The supplementary financial measures and ratios used in this press release are secured debt, secured debt as a percentage of total assets, unencumbered investment properties, unencumbered investment properties as a percentage of total investment properties and the weighted average number of Units. The composition of supplementary financial measures and ratios included in this press release have been incorporated by reference from the Q3 2026 MD&A and can be found under the section “Supplementary financial measures and ratios and other disclosures”. The Q3 2026 MD&A is available on SEDAR+ at www.sedarplus.ca under the Trust’s profile and on the Trust’s website at www.dreamindustrialreit.ca under the Investors section. Non-GAAP financial measures and ratios should not be considered as alternatives to net income, net rental income, cash flows generated from (utilized in) operating activities, cash and cash equivalents, total assets, non-current debt, total equity, distributions on REIT Units, or comparable metrics determined in accordance with IFRS Accounting Standards as indicators of the Trust’s performance, liquidity, cash flow, and profitability.
