SS&C Announces Allocation of $240.0 Million of Incremental Term A-9 Loans and $400.0 Million Revolving Credit Facility Upsize and Launch of $500.0 Million of Incremental Term B-8 Loans

WINDSOR, Conn.--(BUSINESS WIRE)--SS&C Technologies Holdings, Inc. (the “Company” or “SS&C”) (NASDAQ: SSNC), a global provider of investment, financial and healthcare technology and technology-enabled services, today announced it has allocated to lenders an additional $240.0 million of term “A” loans under its existing term loan “A” facility (the “Incremental Term A-9 Loans”) and an additional $400.0 million of commitments under its existing revolving credit facility (the “Revolver Upsize”), with such loans and commitments to be provided to its subsidiary, SS&C Technologies, Inc., under its existing amended and restated credit agreement, dated April 16, 2018 (as amended, restated, amended and restated, supplemented or otherwise modified from time to time, the “Credit Agreement”), by and among, among others, SS&C Technologies, Inc., as borrower, SS&C, as parent guarantor, and the lenders and agents party thereto.

In connection with the incurrence of the Incremental Term A-9 Loans and the Revolver Upsize, SS&C also expects to extend the maturity of each of its term “A” loan facility and its revolving credit facility to November 2031 (the “Maturity Extensions” and, together with the incurrence of the Incremental Term A-9 Loans, the Revolver Upsize and the Incremental Term B-8 Loans (as defined below), the “Credit Agreement Transactions”).

SS&C also announced it has launched the syndication of $500.0 million in aggregate principal amount of incremental term B-8 loans under the Credit Agreement (the “Incremental Term B-8 Loans”).

SS&C Technologies, Inc. expects to use the proceeds of the Incremental Term A-9 Loans and the Incremental Term B-8 Loans, together with the proceeds of incremental long-term indebtedness SS&C intends to incur in the near term, subject to market conditions, for general corporate purposes, including to refinance the $2,000.0 million outstanding aggregate principal amount of its 5.500% Senior Notes due 2027, which mature on September 30, 2027 (the “2027 Senior Notes”). This press release does not constitute a notice of redemption with respect to the 2027 Senior Notes.

The consummation of the Credit Agreement Transactions is subject to market and other conditions, including the negotiation and execution of definitive documentation, and the Credit Agreement Transactions are anticipated to close in the fourth quarter of 2026. However, there can be no assurance the Company will be able to successfully complete the transactions, on the terms described above, or at all. If all of the Credit Agreement Transactions are completed as described above, upon the closing of the Credit Agreement Transactions: the principal amount of term “A” loans outstanding under the Credit Agreement would be $1.0 billion; the principal amount of revolving credit commitments under the Credit Agreement would be $1.0 billion; and the principal amount of term “B” loans under the Credit Agreement would be $4,247 million.

This press release does not constitute an offer to sell or the solicitation of an offer to buy any securities or other indebtedness, nor shall there be any offer, solicitation or sale of any securities in any state or jurisdiction in which such offer, solicitation or sale would be unlawful.
