BayCom Corp Announces 2026 Third Quarter Results
BayCom Corp Announces 2026 Third Quarter Results
WALNUT CREEK, Calif.--(BUSINESS WIRE)--BayCom Corp (“BayCom” or the “Company”) (NASDAQ: BCML), the holding company for United Business Bank (the “Bank”), today announced a net income of $1.1 million, or $0.10 per diluted common share, for the third quarter of 2026, compared to net loss of $7.0 million, or $(0.64) per diluted common share, for the second quarter of 2026, and net income of $5.0 million, or $0.46 per diluted common share, for the third quarter of 2025.
During the third quarter of 2026, the Company completed a strategic repositioning of investment securities to improve future profitability and its interest rate risk profile. The Company sold $106.8 million of investment securities available-for-sale, resulting in a loss of $6.8 million. The proceeds were redeployed into higher-yielding, shorter-duration securities, generating an approximately 122 basis point improvement in the yield on redeployed assets. The Company also sold $7.8 million of preferred equity securities to eliminate the market volatility impact on future earnings from these securities. The preferred equity sales, together with negative market performance, resulted in a loss of $589,000 during the quarter. Salaries and employee benefits included $192,000 of severance expense associated with staffing realignment actions taken during the quarter to improve operating efficiency. Interest income on investment securities included a $142,000 special dividend from the FHLB.
Financial results for the second quarter of 2026 included $10.5 million of expenses related to severance, accelerated equity award vesting and employee benefits associated with the previously announced departures of three senior executives; $380,000 of accelerated premium amortization on acquired loans due to seasoning, which negatively impacted the average loan yield by eight basis points; and a $5.2 million provision for credit losses, primarily reflecting loan growth, increased required reserves on certain individually evaluated loans, and the impact of $2.8 million of net charge offs during the quarter.
William Black, Executive Vice Chairman, commented, “This quarter we took several deliberate actions to strengthen future earnings. We repositioned our bond portfolio into higher-yielding, shorter-duration securities and began restructuring our bank-owned life insurance (BOLI) portfolio, which together we expect to recoup the costs of these actions within approximately three years. We also sold most of our preferred equity holdings to reduce earnings volatility and market risk. Finally, we took targeted steps to realign our relationship banking teams around our most productive talent and markets. While these actions collectively reduced current-quarter earnings by approximately $0.50 per share, they position us for stronger, more consistent performance going forward. We are now focused on growing core customer relationships by investing in our business while looking at opportunities to improve legacy cost structures.”
Christopher Baron, President and Chief Executive Officer, commented, “Our relationship-driven deposit franchise remains one of our greatest strengths. Deposits grew $122.3 million, and our average cost of deposits rose just one basis point to 1.57% despite competitive pressure and the Fed’s September rate increase. Loans grew 3.7%, led by residential, multifamily and C&I lending, and our net interest margin expanded 16 basis points to 4.11%. Thank you to our clients for their loyalty and to our team for their dedication.”
Third Quarter 2026 Performance Highlights:
- Net interest margin of 4.11%, up 16 basis points from Q2 2026 and 43 basis points from Q3 2025.
- Total loans increased $77.2 million, or 3.7%, to $2.2 billion.
- Total deposits increased $122.3 million, or 5.6%, to $2.3 billion, with an average cost of deposits of 1.57%.
- Investment securities available-for-sale decreased $11.0 million, or 6.0%, in the quarter, reflecting the strategic repositioning of the securities portfolio, which resulted in a $6.8 million loss. These actions are expected to improve the yield on redeployed assets by approximately 122 basis points going forward, as well as the interest rate profile.
- Equity securities decreased $9.0 million in the quarter, primarily due to the sale of preferred equity securities to reduce market volatility impact on future earnings, resulting in a $589,000 net loss.
- Salaries and employee benefits included $192,000 of severance expense associated with staffing realignment actions taken during the quarter to improve operating efficiency.
- Classified assets declined $3.9 million, or 11.1%, to $31.7 million at quarter-end.
- Capital ratios were above the regulatory thresholds for "well capitalized" banks at quarter-end, with a Total Capital ratio of 14.52%, Common Equity Tier 1 ratio of 13.39%, and Tangible Common Equity ratio of 11.17%.*
*Tangible Common Equity ratio is a non-GAAP financial measure. The reconciliation of GAAP and non-GAAP financial measures is presented at the end of this release.
Earnings
The Company reported net income of $1.1 million for the third quarter of 2026, compared to a net loss of $7.0 million for the second quarter of 2026. This improvement primarily reflected a $9.5 million decrease in noninterest expense, driven largely by a $9.8 million decrease in salaries and employee benefits, as the prior quarter included $10.5 million of severance, accelerated equity award vesting, and employee benefit costs associated with the previously announced departures of three senior executives, and a $4.4 million decrease in the provision for credit losses. Net interest income also increased $1.8 million during the quarter. These changes were partially offset by a $7.3 million decrease in noninterest income, primarily due to a $6.8 million loss on the sale of available-for-sale investment securities. Compared to the third quarter of 2025, the decrease in net income from $5.0 million to $1.1 million primarily reflected an $8.1 million decrease in noninterest income, largely attributable to the $6.8 million loss on the sale of available-for-sale investment securities, and a $1.7 million increase in noninterest expense. These changes were partially offset by a $2.2 million increase in net interest income and a $2.1 million decrease in the provision for credit losses.
Net income for the nine months ended September 30, 2026 totaled $2.4 million, compared to $17.1 million for the same period in 2025. The decrease was primarily due to a $13.6 million increase in noninterest expense, mainly due to the above-mentioned $10.5 million of costs associated with the previously announced departures of three senior executives, an $8.0 million decrease in noninterest income, primarily due to the $6.8 million loss on the sale of available-for-sale investment securities, and a $1.6 million increase in the provision for credit losses, partially offset by a $5.0 million increase in net interest income.
Net Interest Income and Margin
Annualized net interest margin was 4.11% for the third quarter of 2026, up 16 basis points compared to 3.95% for the second quarter of 2026 and up 43 basis points from 3.68% for the third quarter of 2025. The average yield earned (annualized) on interest-earning assets was 5.54% for the third quarter of 2026, up from 5.36% for the second quarter of 2026 and 5.49% for the third quarter of 2025. The average rate paid (annualized) on interest-bearing liabilities was 2.15% for the third quarter of 2026, up from 2.14% for the second quarter of 2026 and down from 2.73% for the third quarter of 2025.
The following tables present average balances, interest income and expense, average yields and costs, net interest income, interest rate spread and net interest margin for the third quarter of 2026 compared to the second quarter of 2026 and the third quarter of 2025.

Loan average balances are net of deferred origination fees and costs. Nonaccrual loans are included in the average balances. Interest income on nonaccruing loans is reflected in the period that it is collected, to the extent it is not applied to principal. |
(2) |
Interest rate spread is calculated as the average rate earned on interest earning assets minus the average rate paid on interest-bearing liabilities. |
(3) |
Net interest margin is calculated as net interest income divided by total average interest earning assets. |
(4) |
Annualized. |
(5) |
Average balances are computed using average daily balances. |
Interest income on loans, including fees, increased $2.0 million, or 7.3%, to $30.3 million for the three months ended September 30, 2026, from $28.2 million for the prior quarter, primarily due to a $77.2 million increase in the average balance of loans and a 12 basis point increase in the average loan yield due to new loan originations at higher rates. Compared to the three months ended September 30, 2025, interest income on loans, including fees, increased $1.0 million, or 3.6%, primarily due to a $63.4 million increase in the average balance of loans and a two basis point increase in the average loan yield. Interest income on loans included $67,000 of amortization of net premiums on acquired loans for the three months ended September 30, 2026, compared to amortization of net premiums of $380,000 for the three months ended June 30, 2026, and $155,000 of accretion of the net discount for the three months ended September 30, 2025, which negatively impacted the average loan yield by eight basis points during the second quarter of 2026, with no significant impact during the third quarters of 2026 and 2025. Interest income also included $84,000 of fees related to prepayment penalties for the three months ended September 30, 2026, compared to $110,000 and $119,000 for the three months ended June 30, 2026 and September 30, 2025, respectively.
Interest income on investment securities decreased $24,000, or 1.1%, to $2.2 million for the three months ended September 30, 2026, compared to $2.3 million for the three months ended June 30, 2026, and decreased $72,000, or 3.1%, from $2.3 million for the three months ended September 30, 2025. These decreases were primarily due to decreases of $10.1 million and $15.2 million in the average balance, respectively, partially offset by increases of 15 basis points and 22 basis points in the average yield, respectively, reflecting purchases of investment securities at higher rates. The Company received $400,000 in cash dividends on its FRB and FHLB stock for the three months ended September 30, 2026, including $142,000 in special dividends from the FHLB, compared to $135,000 for the three months ended June 30, 2026, and $398,000 for the three months ended September 30, 2025.
Interest expense on deposits increased $400,000, or 4.8%, to $8.8 million for the three months ended September 30, 2026, compared to $8.4 million for the three months ended June 30, 2026, primarily due to an increase in average interest-bearing deposit balances, particularly money market accounts, while the average cost of total interest-bearing deposit accounts remained unchanged at 2.12%. Interest expense on deposits decreased $978,000, or 10.0%, compared to $9.8 million for the three months ended September 30, 2025, primarily due to lower average balances in time deposits and lower average rates paid on money market and time deposit accounts. The average cost of deposits (including non-interest bearing balances) increased one basis point to 1.57% for the third quarter of 2026, compared to 1.56% for the prior quarter, and decreased 17 basis points from 1.74% for the third quarter of 2025. Average noninterest-bearing deposits were $577.7 million for the third quarter of 2026, up $6.3 million from $571.4 million for the prior quarter, and down $39.8 million from $617.5 million for the third quarter of 2025.
Provision for Credit Losses
The Company recorded an $843,000 provision for credit losses for the third quarter of 2026, compared to a provision for credit losses of $5.2 million and $3.0 million for the second quarter of 2026 and the third quarter of 2025, respectively. The provision for credit losses in the current quarter primarily reflected changes in loan portfolio volume and updated historical loss rates, partially offset by modest improvements in forecasted national unemployment and gross domestic product relative to the prior quarter’s forecasts and decreased specific reserves on certain individually evaluated loans.
Noninterest Income
Noninterest income for the third quarter of 2026 decreased $7.3 million to a loss of $5.8 million, compared to income of $1.5 million for the prior quarter of 2026, and decreased $8.1 million compared to income of $2.2 million for the third quarter of 2025. The decrease in noninterest income compared to the prior quarter of 2026 was primarily due to a $6.8 million loss on sale of available-for-sale investment securities, a $684,000 unfavorable swing on equity securities due to preferred equity sales and negative fair value adjustments to reflect declining market conditions, which went from a gain of $95,000 for three months ended June 30, 2026, to loss of $589,000 for the three months ended September 30, 2026, and an $84,000 decrease in service charges and other fees. These decreases were partially offset by increases of $152,000 in loan servicing fees and other fees, a $24,000 increase in gain on sale of loans, and a $118,000 decrease in loss on investment in a Small Business Investment Company (“SBIC”) fund. The decrease in noninterest income compared to the same quarter of 2025 was primarily due to a $6.8 million loss on sale of available-for-sale investment securities, a $1.4 million unfavorable swing to a loss on preferred equity securities due to negative fair value adjustments to reflect declining market conditions, a $46,000 increase in loss on investment in SBIC fund and a $34,000 decrease in service charges and other fees, partially offset by a $113,000 increase in gain on sale of loans and a $102,000 increase in loan servicing fees and other fees.
Noninterest Expense
Noninterest expense for the third quarter of 2026 decreased $9.5 million, or 35.0%, to $17.7 million, compared to $27.2 million for the second quarter of 2026, and increased $1.7 million, or 10.7%, compared to $15.9 million for the third quarter of 2025. Salaries and employee benefits as compared to the prior quarter included increased bonus accrual related to loan growth and increased stock compensation expense related to performance stock awards, along with $192,000 of severance expense associated with staffing realignment actions taken during the quarter to improve operating efficiency. Results for the prior quarter included $10.5 million of severance, accelerated equity award vesting, and employee benefit costs associated with the previously announced departures of three senior executives. The decrease in salaries and employee benefits was partially offset by a $205,000 increase in other expense, a $92,000 increase in occupancy and equipment expense, and a $32,000 increase in data processing expense. Compared to the third quarter of 2025, the increase in noninterest expense was primarily due to a $1.1 million increase in salaries and employee benefits related to increased base wages, higher employee insurance claims, and increased stock compensation expense, as well as a $593,000 increase in other expense due to higher professional service and legal costs, partially offset by reduced deposit premium amortization, a $34,000 increase in occupancy and equipment expense, and a $33,000 increase in data processing expense.
Income Taxes
The Company recorded income tax expense of $104,000 for the third quarter of 2026, compared to income tax benefit of $223,000 for the second quarter of 2026, and income tax expense of $1.7 million for the third quarter of 2025. The effective tax rate for the third quarter of 2026 was 8.3%, compared to 3.1% for the prior quarter, and 25.7% for the third quarter of 2025. The decrease in the effective tax rate from the third quarter of 2025 reflected the tax benefit associated with the Company’s decreased net income during the current quarter.
Investment Securities
As part of the securities repositioning, the Company sold $106.8 million of investment securities available-for-sale (“AFS”) and subsequently purchased $109.3 million of AFS investment securities. The $106.8 million of securities sold had an average yield of approximately 3.79% and were sold at a pre-tax loss of $6.8 million. The repositioning improved the Company's earning-asset mix by facilitating the redeployment of sale proceeds into higher-yielding assets while enhancing balance sheet flexibility. As of September 30, 2026, we reinvested $109.3 million at a weighted average yield of 5.01%, which resulted in a 122 basis point yield increase on redeployed balances. As of September 30, 2026, AFS securities had aggregate unrealized net after-tax losses in AOCI of $6.3 million, down from $8.1 million at June 30, 2026, driven by the aforementioned sales, partially offset by market movements due to interest rate environment shift.

Loans, net of deferred fees, totaled $2.2 billion at September 30, 2026, an increase of $77.2 million from $2.1 billion at June 30, 2026, and an increase of $110.1 million from $2.0 billion at September 30, 2025. The increase in loans from June 30, 2026 was primarily due to $146.2 million of new loan originations and $51.8 million of loan purchases, partially offset by $117.4 million of loan repayments. During the current quarter, the Company sold loans totaling $2.1 million, including a $1.0 million nonperforming loan.

Annualized |
Nonaccrual loans totaled $10.5 million, an increase of $1.4 million from the prior quarter-end, primarily reflecting one new nonaccrual commercial real estate loan totaling $3.3 million, partially offset by the payoff of four nonaccrual loans totaling $1.8 million. The majority of nonperforming loans remain concentrated in the commercial real estate portfolio, while consumer and other commercial loans continue to exhibit low levels of delinquencies.
Accruing loans past due 30-89 days totaled $12.4 million, an increase of $10.1 million from June 30, 2026, primarily due to four commercial real estate loans totaling $10.5 million that became past due, including one $8.5 million commercial real estate loan secured by a hotel. As of September 30, 2026, there was one loan totaling $623,000 that was 90 days or more past due and still accruing because the loan was in the process of collection, compared to two such loans totaling $677,000 at June 30, 2026 and two such loans totaling $395,000 at September 30, 2025.
At September 30, 2026, the Company’s allowance for credit losses for loans was $23.7 million, or 1.10% of total loans, compared to $23.0 million, or 1.11% of total loans, at June 30, 2026 and $20.8 million, or 1.02% of total loans, at September 30, 2025. Net charge-offs totaled $13,000 for the third quarter of 2026, compared to $2.8 million in the prior quarter, and $833,000 in the third quarter of 2025. The increase in the allowance for credit losses on loans during the third quarter of 2026 was primarily driven by increases in loan portfolio volume, partially offset by modest improvements in forecast national unemployment and gross domestic product relative to the prior quarter’s forecasts. In addition, there was a $294,000 decrease in the reserve for individually evaluated loans as compared to the prior quarter, due to one nonaccrual loan payoff. The assessment of qualitative risk factor for lending policies and procedures was revised to a neutral adjustment from minor risk level in response to improvement in the underlying metrics. Other qualitative risk factor classifications remained unchanged during the quarter.
At September 30, 2026, acquired loans, net of discounts and premiums, totaled $37.0 million, with a remaining net premium of $127,000, compared to $40.8 million, with a net premium of $245,000, at June 30, 2026, and $134.4 million, with a net discount of $146,000, at September 30, 2025. The decrease in acquired loans, net of discounts and premiums, from September 30, 2025 was primarily due to migration of $58.9 million of acquired loans to the general loan pool during the second quarter of 2026, including a $330,000 net premium, as the portfolio continued to season. Most of these loans had not been renewed or re-underwritten during the third quarter of 2026.
Deposits and Borrowings
Deposits increased $122.3 million, or 5.6%, to $2.3 billion at September 30, 2026, compared to $2.2 billion at June 30, 2026, and increased $64.1 million, or 2.9%, compared to $2.2 billion at September 30, 2025. Noninterest-bearing deposits totaled $574.2 million, or 25.1% of total deposits, at September 30, 2026, compared to $576.5 million, or 26.6%, at June 30, 2026, and $618.1 million, or 27.7%, at September 30, 2025. The increase in deposits from the prior quarter-end was primarily due to organic growth and the decision to retain on the Company’s balance sheet deposits previously placed with other participating banks through the IntraFi Network's Certificate of Deposit Account Registry Service (“CDARS”) and Insured Cash Sweep (“ICS”) money market programs.
We consider our deposit base to be stable and well-diversified, and we do not have any significant industry concentrations among our noninsured deposits. At September 30, 2026 and June 30, 2026, our average deposit account size (excluding public funds), calculated by dividing period-end deposits by the number of accounts with balances, was approximately $66,000 and $62,000, respectively.
The Bank maintains a secured FHLB of San Francisco borrowing facility for up to 25% of total assets, secured by certain types of loans, with no overnight advances outstanding at September 30, 2026, compared to $25.0 million at June 30, 2026 and none at September 30, 2025. The Bank has access to borrowing capacity through unused Federal Funds lines with four correspondent banks and an approved, unused Federal Reserve discount window facility.
Shareholders’ Equity and Capital
Shareholders’ equity totaled $334.8 million at September 30, 2026, compared to $335.4 million at June 30, 2026 and $334.3 million at September 30, 2025. The decrease from June 30, 2026 primarily reflected $3.3 million of accrued cash dividends, partially offset by net income of $1.1 million and $1.3 million of other comprehensive income, net of taxes, primarily related to changes in unrealized gains on available-for-sale securities.
At September 30, 2026, the Company and the Bank exceeded all regulatory capital requirements under Basel III, and the Bank met the qualifications to be a ‘‘well-capitalized’’ financial institution, as summarized in the following table:

Non-GAAP Financial Measures:
In addition to results presented in accordance with generally accepted accounting principles in the United States (“GAAP”), this earnings release contains return on average tangible common equity, tangible book value per share and tangible equity to tangible assets, each of which is a non-GAAP financial measure. Return on average tangible common equity is calculated by dividing net income for the period by average tangible common shareholders’ equity for the period. Tangible book value per share is calculated by dividing tangible common shareholders’ equity by the number of common shares outstanding at the end of the period. Tangible equity to tangible assets is calculated by dividing tangible common shareholders’ equity by tangible assets. Tangible common shareholders’ equity and average tangible common shareholders’ equity exclude intangible assets from shareholders’ equity, and tangible assets exclude intangible assets from total assets. For these financial measures, the Company’s intangible assets are goodwill and core deposit intangibles. The Company believes that these measures are consistent with the capital treatment by its bank regulatory agencies, which exclude intangible assets from the calculation of risk-based capital ratios, and presents these measures to facilitate comparison of the quality and composition of the Company’s capital, and the return generated on that capital, over time and to its peers. Non-GAAP financial measures have inherent limitations and are not required to be uniformly applied. Further, these non-GAAP financial measures should not be considered in isolation or as a substitute for the comparable financial measures determined in accordance with GAAP and may not be comparable to similarly titled measures reported by other companies.
A reconciliation of these non-GAAP financial measures to the most directly comparable GAAP measures is included below:
