KBRA Assigns Preliminary Ratings to GW Issuer LLC, Series 2026-1

NEW YORK--(BUSINESS WIRE)--KBRA assigns preliminary ratings to the Series 2026-1, Class A-2 Notes, Class A-1-L Notes, Class B Notes and Class C Notes (the Series 2026-1 Notes) from GW Issuer, LLC (the Issuer), a communications infrastructure securitization.

The transaction represents the Issuer’s first securitization. The transaction structure is a master trust, and as such, the indenture permits the issuance of additional classes and series of notes subject to certain conditions, including rating agency confirmation. The proceeds from the Series 2026-1 Notes are being used to pay transaction fees and expenses, fund transaction accounts, repay certain Company indebtedness, and for other general corporate purposes, which may include a distribution to the Parent for growth capital expenditures.

The business of the Issuer is to own, manage and operate fiber optic communications systems and fixed wireless communications systems for the delivery of fiber optic and wireless services. The securitized assets consist primarily of fiber-to-the-premises (FTTP) infrastructure, fixed wireless (FW) communications equipment, and E-Rate assets.

As of June 30, 2026 (the Cut-Off Date), the securitized assets generated approximately $51.2 million of Aggregate Annualized Revenue (73.9% from FTTP, 13.6% from E-Rate and 12.5% from FW assets), from approximately 49,000 customers served over approximately 133,000 fiber passings, 359 towers and 1,138 E-Rate network miles across the US.
