Better Home & Finance Responds to Latest False and Misleading Claims from Former CEO Vishal Garg

NEW YORK--(BUSINESS WIRE)--The Special Committee of the Board of Directors (the “Special Committee”) of Better Home & Finance Holding Company (NASDAQ: BETR) (“Better” or the “Company”) today issued the following statement in response to the latest round of false and misleading claims by the Company’s former CEO, Vishal Garg.

“In his frenzied attempt to manufacture momentum for his sputtering consent solicitation, Garg has taken to publicly touting purported shareholder support for his campaign—in clear violation of the federal proxy rules. However, like so many of Garg’s claims, this one has no basis in reality.

Based on our visibility into the banks and brokers that custody Better’s shares and the consents Garg previously submitted, Garg has not obtained consents from anywhere near the 46% of the Company’s voting power he now claims. Most of his claimed support comes from his own super-voting shares and those of a small number of long-time allies. Put simply, he has gained minimal traction with public investors.

We also remind shareholders that just weeks ago, Garg claimed to have more than 50% of the vote—a claim that proved false.

Garg has set numerous deadlines by which he promised to demonstrate support and deliver the requisite written consents, and he has missed them all. Now, having evidently failed to convince public shareholders to support his revenge campaign on the merits, Garg has turned to increasingly desperate tactics and histrionic complaints, consistent with his pattern of blaming others for his failures.

In his latest press release, Garg chastised the Board for allegedly failing to provide him with information about the Company’s shareholders. However, the Company did provide Garg’s counsel with three separate share ownership lists—every list we have that he asked for. It is our understanding that Garg’s own legal counsel neglected to share those lists with Garg or his proxy solicitor. The informational disadvantage that Garg bemoans is, in fact, one of his own advisors’ making.

In all events, the Company is not preventing Garg from communicating with shareholders. Garg has been doing exactly that every day for weeks through a torrent of press releases, mailings, emails, tweets, ‘bots,’ text messages and phone calls. The problem for Garg is not that shareholders can’t hear his message; it is, instead, that shareholders do not agree with him.

We urge shareholders to continue to ignore Garg’s campaign so Better’s Board, management and employees can move forward and focus on executing the Company’s strategy.”

The Special Committee unanimously recommends that shareholders sign, date and return the WHITE consent revocation card and disregard any green consent card received from Mr. Garg. Shareholders who have previously signed and returned a green consent card may revoke that consent by signing, dating and returning the Company’s WHITE consent revocation card.
