Oksenholt Capital Management LLC Releases White Paper; One Company, Two Charters: A Path to a $1 Trillion Fannie-Freddie Platform

Oksenholt Capital Management outlines a holding-company structure designed to preserve both federal charters while capturing scale, technology and U.S. FinTech value.

SCOTTSDALE, Ariz.--(BUSINESS WIRE)--Oksenholt Capital Management LLC today released a white paper outlining a proposed structure for U.S. Financial Technology and Mortgage Corporation, a Texas-based public holding company that would sit above Fannie Mae and Freddie Mac. Their jointly owned U.S. Financial Technology platform would remain inside the consolidated group.

The proposal is designed to capture value that is difficult to surface under the current structure: operating and technology synergies, one larger listed parent, and the commercial development of U.S. FinTech in data, analytics and risk. Fannie Mae and Freddie Mac would remain separately chartered, separately capitalized and continue competing as mortgage enterprises.

The accompanying model illustrates an upfront equity value in the mid-$500 billions and a path to $1 trillion through higher normalized earnings, realized synergies, expanded U.S. FinTech earnings and a higher consolidated valuation multiple. Every assumption is explicit and can be adjusted in the model.

The white paper also addresses Treasury's senior preferred stock and warrants, regulatory capital, minority holders, antitrust and common control, and the commercial rights required to expand U.S. FinTech.
