Skillsoft Announces New Employee Inducement Grant Under NYSE Rule 303A.08

BOSTON--(BUSINESS WIRE)--Skillsoft Corp. (NYSE: SKIL) (“Skillsoft” or the “Company”), a leading AI-native skills management platform, today announced that on June 12, 2026, the Talent and Compensation Committee (the “Committee”) of Skillsoft’s Board of Directors (the “Board”) made a grant of 150,000 restricted stock units (“RSUs”) with respect to the Company’s Class A common stock to Ronald Kisling. The grant of RSUs was offered as a material inducement to Mr. Kisling’s hiring as Chief Financial Officer on May 19, 2026, and was made under Skillsoft’s 2024 Employment Inducement Incentive Award Plan, as amended (the “Inducement Plan”). Half (50%) of such RSUs vest ratably over four years; and the remaining 50% are performance-based RSUs, with vesting ranging from 0% to 200% of the target amount granted (up to 150,000 shares at 200%) on June 1, 2029, based on the achievement of specified annual bookings growth targets established by the Board of Directors and certified by the Committee, in each case, subject to Mr. Kisling’s continued employment with the Company through the vesting date.

The awards were granted in reliance on the employment inducement exemption under the NYSE’s Listed Company Manual Rule 303A.08, which requires public announcement of inducement awards. The Company is issuing this press release pursuant to Rule 303A.08.
