AGI Announces Approval of All Resolutions at Annual and Special Meeting of Shareholders and Change to Board of Directors

WINNIPEG, Manitoba--(BUSINESS WIRE)--Ag Growth International Inc. (TSX: AFN) ("AGI" or the "Company") is pleased to announce the voting results from its annual and special meeting of shareholders held on June 4, 2026 (the “Meeting”). A total of 10,674,573 common shares, representing approximately 56.60% of AGI's outstanding shares, were represented in person or by proxy at the Meeting.

As previously announced, immediately following the Meeting, AGI’s Board of Directors (the “Board”) appointed Gary Anderson, Paul Brisebois, and Mick MacBean to the Board, effective immediately. To facilitate these Board appointments, Mr. Choquette graciously resigned from the Board. AGI thanks Mr. Choquette for his significant contributions as the Company took integral steps in its ongoing restructuring process.

In addition, all other resolutions presented at the meeting were approved by AGI's shareholders, including the appointment of Ernst & Young LLP as auditors and to fix their remuneration as such, as well as the approval of a new share option plan for the Company.
