Blaize Announces Public Offering of Common Stock

EL DORADO HILLS, Calif.--(BUSINESS WIRE)--Blaize Holdings, Inc. (Nasdaq: BZAI, Nasdaq: BZAIW) (“Blaize,” the “Company,” “we,” “our,” or “us”), a leader in programmable, energy-efficient AI computing, announced today that it intends to offer and sell shares of its common stock in an underwritten public offering. In connection with the offering, Blaize also expects to grant the underwriters a 30-day option to purchase up to an additional 15% of the shares of common stock offered at the public offering price, less the underwriting discounts. The offering is subject to market and other conditions, and there can be no assurance as to whether or when the offering may be completed, or as to the actual size or terms of the offering.

The Company intends to use net proceeds from the offering for working capital and general corporate purposes.

Northland Capital Markets is acting as sole bookrunning manager for the offering. The Benchmark Company, LLC is acting as co-manager for the offering.

A shelf registration statement on Form S-3 relating to the securities offered in the public offering described above was filed with the Securities and Exchange Commission (the “SEC”) on January 27, 2026 (File No. 333-292986) and declared effective by the SEC on February 4, 2026.
