Community Health Systems Announces Definitive Agreement to Sell Three Pennsylvania Hospitals to Tenor Health Foundation

FRANKLIN, Tenn.--(BUSINESS WIRE)--Community Health Systems, Inc. (NYSE: CYH) announced today that certain subsidiaries of the Company have entered into a definitive agreement to sell 186-bed Regional Hospital of Scranton and 122-bed Moses Taylor Hospital in Scranton, Pennsylvania, 369-bed Wilkes-Barre General Hospital in Wilkes-Barre, Pennsylvania, and certain related businesses to affiliates of Tenor Health Foundation.

Since the previously announced divestiture to WoodBridge Healthcare, Inc. was terminated in November 2024, CHS representatives have worked in collaboration with the office of Pennsylvania Governor Josh Shapiro and members of the state General Assembly to identify another operator to sustain the Scranton operations and care for the community. Exhaustive outreach was made to regional and national organizations.

The transaction is subject to customary regulatory approvals and closing conditions, and is contingent on Tenor Health Foundation finalizing funding. Once funding is secured, the transaction is expected to close very soon thereafter within the fourth quarter this year. Terms are not being disclosed.

The hospitals included in this transaction are among the additional potential divestitures discussed on the Company’s third quarter 2025 earnings call.
