Air Liquide: Changes to Share Capital

Reduction in capital subsequent to share cancellation

Air Liquide (Paris:AI):

The Board of Directors during its meeting of July 27, 2022, decided to reduce the Company’s share capital in accordance with Resolution 18 voted during the Shareholders’ General Meeting of May 4, 2022. Consequently, the share capital is reduced by a total of 6,043,950.00 Euros (from 2,884,069,820.50 Euros to 2,878,025,870.50 Euros) via the cancellation of 1,098,900 shares acquired by the Company in accordance with resolution approved during the General Shareholder Meeting of May 4, 2021 (Resolutions 4).

The difference between the purchase price (158,827,213,80 Euros) of these shares and their corresponding per value (6,043,950.00 Euros) will be affected to the “Additional paid-in capital” account for an amount of 152,783,263.80 Euros.

As a result, Air Liquide’s share capital effective immediately stands at:

2,878,025,870.50 euros

Divided into 523,277,431 shares with a par value of 5.50 euros each.
