Axonics® Announces Proposed Public Offering of Common Stock

IRVINE, Calif.--(BUSINESS WIRE)--Axonics, Inc. (Nasdaq: AXNX) (“Axonics”), a global medical technology company that is developing and commercializing novel products for the treatment of bladder and bowel dysfunction, today announced that it has commenced a proposed underwritten public offering of 1,750,000 shares of its common stock. Axonics expects to grant the underwriter a 30-day option to purchase up to an additional 262,500 shares of its common stock.

Axonics anticipates using the net proceeds from the offering for working capital and general corporate purposes, including a potential $35 million milestone payment in connection with its previously announced and completed acquisition of Contura Limited (solely to the extent that such milestone payment is finally determined to be due and payable by Axonics in accordance with the definitive agreements governing the acquisition).

BofA Securities is acting as the sole book-running manager for the offering. The offering is subject to market and other customary closing conditions, and there can be no assurance as to whether or when the offering may be completed.
