Circumstances giving rise to the notifications

Today, 27 May 2022, the Company announces that each of the executive directors listed below have been awarded the following number of the Company’s A ordinary shares of 12.5p each (the ‘A shares’).

This follows the Company’s remuneration committee’s determination that 25% of the annual bonus awarded to Mike Owen, Simon Dodd and Tracy Dodd, under the terms of the Company’s deferred annual bonus scheme, would be deferred (net of employment taxes and national insurance contributions) into the Company’s ‘A’ shares.

None of the executive directors are generally free to sell any of the shares before the end of a restricted period, which, ordinarily, will end three years after the shares have been acquired or, if earlier, the date on which his or her employment terminates by reason of retirement, illness, disability or redundancy.

The shares allotted to each executive director was calculated with reference to the closing market price of the Company’s A ordinary shares of 12.5p each on Thursday, 26 May 2022, as shown in today’s Financial Times (on-line version), being 1304p.

A block admission arrangement is in place for the shares allotted.
