COLUMBUS, Ohio--(BUSINESS WIRE)--Vertiv Holdings Co (“Vertiv”) (NYSE: VRT), a global provider of critical digital infrastructure and continuity solutions, today announced that a subsidiary, Vertiv Group Corporation (the “Issuer”), successfully completed its previously announced offering (the “Offering”) of $850 million aggregate principal amount of its 4.125% Senior Secured Notes due 2028 (the “Notes”).
The Issuer intends to use the net proceeds from the offering, together with cash on hand, to finance the cash portion of the purchase price of Vertiv’s pending acquisition of E&I Engineering Ireland Limited and its affiliate, Powerbar Gulf LLC (collectively, “E&I”), and to pay fees and expenses related to the E&I acquisition and the offering.
The Notes have not been and will not be registered under the Securities Act of 1933, as amended (the “Securities Act”), or any state securities laws. The Notes may not be offered or sold within the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
