The Company may now proceed with its plan to publicly offer up to $19,145,000 of preferred stock (the “Preferred Stock”) at a price of $25.00 per share, to qualified investors in a Reg A+ public offering.

Among other terms as set forth in the offering circular for the offering, and subject to the terms and conditions and risks set forth therein, the Preferred Stock will pay an annual dividend of 10%, with payments made monthly.
