Ventas Successfully Completes Initial Closing of Perpetual Life Vehicle Targeting Life Science, Medical Office and Senior Housing Real Estate

(NYSE: VTR) (“Ventas” or the “Company”), today announced that it successfully completed the initial closing of the previously disclosed Ventas Life Science and Healthcare Real Estate Fund, L.P. (the “Fund”), a perpetual life vehicle that focuses on investments in core and core plus life science, medical office and senior housing real estate in North America. At inception, the Fund has more than $0.7 billion in assets under management and third-party equity commitments of approximately $0.65 billion from globally respected institutional investors. The Fund provides a growth platform for Ventas and leverages its brand, industry knowledge and team.

To seed the Fund, Ventas contributed five high-quality, stabilized life science and medical office assets (the “Fund’s Initial Assets”) comprising 1.2 million square feet of space. The Fund will have a conservative capital structure, in line with the Company’s targets, and the Fund has secured a $0.3 billion line of credit (the “Line of Credit”) to facilitate new investments. The Company intends to grow the Fund’s assets under management principally from the acquisition of new life science, medical office and senior housing assets that meet the investment criteria of the Fund. Inclusive of the Line of Credit, the Fund currently has an additional $0.6 billion of acquisition capacity, which the Company expects to increase over time.

Ventas, as the Fund Sponsor and General Partner, expects to hold a 20 percent ownership stake in the Fund, thereby participating in the cash flows generated by the Fund’s portfolio and aligning the interests of the Fund investors. As previously disclosed, as a result of its contribution of the Fund’s Initial Assets and retention of a 20 percent interest, the Company has received approximately $0.6 billion in net proceeds which it expects to use for debt repayment. The Company will recognize a gain on the transactions.
