Gregory J. Fleming Assumes Role of President and Chief Executive Officer

Start of New Financial Services Firm Marked by Additional Senior Appointments

NEW YORK--()--Rockefeller Capital Management (“Rockefeller” or the “the firm”), an independent financial services firm offering wealth management, asset management and strategic advisory, has officially launched. The transaction to form Rockefeller Capital Management, which included the acquisition of Rockefeller & Co., has received all required client consents and satisfied all applicable regulatory conditions. Gregory J. Fleming has assumed the role of President and Chief Executive Officer.

“Over the last several months, I have met with employees, clients and members of the Rockefeller family as we prepare to launch Rockefeller Capital Management and add to the capabilities of the platform,” Fleming said. “Today, with the launch of Rockefeller Capital Management, I am excited to announce the addition of several new senior executives who will help us manage that evolution while maintaining our commitment to the firm's extraordinary legacy. I am thrilled to have such a talented and experienced group of leaders join us on this journey.”

Rockefeller Capital Management plans to broaden its existing wealth and asset management capabilities and develop a strategic advisory business for the first time, serving ultra- and high-net-worth families as well as institutions that include foundations, endowments and corporations.

Jonathan Eisenberg, Ed Moriarty, Jeffrey Shames and Harry Singh have joined Rockefeller Capital Management and will report to Fleming. Eisenberg will serve as General Counsel; Moriarty will be the Chief Financial Officer; Shames will be a Senior Strategy Adviser; and Singh will be the Chief Operating Officer. David Harris will continue as Chief Investment Officer and Head of Asset Management, and Elizabeth Munson as President of the Rockefeller Trust Companies. These executives report to Fleming and together form the Executive Committee.

Prior to leading Rockefeller, Fleming, a longtime financial services executive, was the President of Morgan Stanley Wealth and Asset Management and before that, the President of Merrill Lynch.

More About the Transaction

The new Rockefeller Capital Management looks to build upon the 135-year history of excellence in investment management associated with the Rockefeller family. The firm has three businesses: Rockefeller Wealth Management, Rockefeller Asset Management, and Rockefeller Strategic Advisory.

The firm is owned by a trust representing the broader Rockefeller family, the firm’s management and an investment fund of Viking Global Investors LP (“Viking”). The ownership group anticipates making substantial additional capital investments in Rockefeller over multiple years to allow the firm to execute its strategy and accelerate growth.

The Board of Rockefeller Capital Management includes Gregory Fleming; Rockefeller family members David Rockefeller, Jr. and Peter M. O’Neill; Reuben Jeffery III of the former Rockefeller & Co.; and Brian Kaufmann of Viking. Additional independent directors will be added in the future.

New Hire Biographies

Jonathan Eisenberg, General Counsel

Jonathan Eisenberg is the General Counsel at Rockefeller Capital Management. He also serves as Chief of Staff to the CEO. Eisenberg was previously the General Counsel for UBS Wealth Management Americas and, prior to that, the Co-Head of Global Litigation, Regulatory and Employment Law at Merrill Lynch. He has significant experience in both private practice and at major financial institutions, and early in his career worked in the Securities and Exchange Commission's Office of General Counsel. He has also written more than 60 published articles on legal developments affecting financial institutions. Mr. Eisenberg received his bachelor’s degree from Cornell University and JD from the University of Virginia School of Law.

Ed Moriarty, Chief Financial Officer

Ed Moriarty is the Chief Financial Officer at Rockefeller Capital Management. He is also Head of Risk for the Firm. He previously served as Head of Merchant Banking and Real Estate Investing at Morgan Stanley Investment Management and before that as the Chief Operating Officer of Investment Management at Morgan Stanley. He was also a member of Morgan Stanley’s Management Committee and Firm-wide Risk Committee. Before those roles, Moriarty served as Senior Vice President and Co-Chief Risk Officer at Merrill Lynch, where he was responsible for developing an integrated firm-wide risk management strategy. He received his bachelor’s degree from Hamilton College and MBA from the Darden School at the University of Virginia.

Jeffrey Shames, Senior Strategy Adviser

Jeffrey Shames is the Senior Strategy Adviser at Rockefeller Capital Management. He is also a Senior Lecturer of Finance at the MIT Sloan School of Management. Prior to his career in academia, Shames was the Chairman and CEO of MFS Investment Management and served on the Board of Trustees of the MFS Funds. Shames was also a senior advisor at Morgan Stanley, where he was responsible for advising the president of Morgan Stanley Investment Management and Morgan Stanley Smith Barney Wealth Management. Shames received his bachelor’s degree from Wesleyan University and MBA from the MIT Sloan School of Management.

Harry Singh, Chief Operating Officer

Harry Singh is the Chief Operating Officer of Rockefeller Capital Management. Prior to this role, Singh was a Managing Director and member of the Management Committee for Wealth Management at Morgan Stanley. He also served as Head of the Office of the Vice Chairman for Global Wealth Management. Singh was previously a Managing Director and Co-Head of Global Client Coverage at Merrill Lynch, where he worked in New York and London. He has a bachelor’s degree from the University of Bombay and MBA from Cornell University.
