SunGard to Acquire FAME; Adds Reference Data Solutions to its Market Data Offerings

NEW YORK--()--Dec. 5, 2003--SunGard Market Data Services, an operating group of SunGard (NYSE:SDS), announced today that it has signed a definitive agreement to acquire New York-headquartered FAME Information Services, Inc., a leading provider of data management technology and consulting solutions to the world's financial services, public sector and energy industries. The transaction, which is subject to regulatory approval, is expected to close in the first quarter of 2004 and is not expected to have a material impact on SunGard's financial results.

For more than 20 years, FAME has combined reliable historical market and reference data, time-series data management technology, and financial and energy expertise to deliver mission-critical solutions. FAME's clients include top-tier institutions in the areas of investment banking and asset management, public-sector banks and energy trading firms in more than 40 countries. The FAME product suite and management team will join the SunGard Market Data Services group.

Dale Richards, chief executive officer for FAME, commented, "Given our solid brand and top tier client list, FAME stands out as a leader in the market data space. We have proven our capability to develop and deliver customer-driven solutions - such as FAME's ReferencePoint - in a timely manner. SunGard's industry presence and reputation for quality will only enhance our ability to support and expand the solutions we provide to our clients."

John Hyde, group chief executive officer for SunGard Market Data Services, added, "Providing best-of-breed solutions for reference data management and historical pricing is a logical extension of SunGard Market Data Services' current business. SunGard's interconnected network of investment, portfolio and asset management, brokerage and trading systems, consumes an extensive array of historical and reference data. With FAME's products and solutions added to our offerings, particularly its leading-edge ReferencePoint solution, we will be able to increase our value-add and help our customers reduce costs and improve operational efficiency. Dale Richards and his management team have a proven track record that SunGard plans to fully leverage though an integrated product and marketing plan."

Not included in the acquisition is FAME's education division, which provides training programs to the energy industry.

"Safe Harbor" Statement under Private Securities Litigation Reform Act of 1995

Statements about the expected effects on SunGard of the acquisition of FAME, statements about the expected timing and scope of the acquisition, and all other statements in this release other than historical facts are forward-looking statements. These statements are subject to risks and uncertainties that may change at any time, and, therefore, actual results may differ materially from expected results. Forward-looking statements include information about possible or assumed future financial results of SunGard and usually contain words such as "believes," "intends," "expects," "anticipates," or similar expressions. SunGard derives most of its forward-looking statements from its operating budgets and forecasts, which are based upon many detailed assumptions. While SunGard believes that its assumptions are reasonable, it cautions that there are inherent difficulties in predicting certain important factors, such as: general economic and market conditions, including their effect on information technology spending levels, trading volumes and services revenues, and including the fact that the economic slowdown has left many companies with excess data center capacity that provides them with internal alternatives primarily to high-availability services; the overall condition of the financial services industry, including the effect of any further consolidation among financial services firms, and including the market and credit risks associated with clearing broker operations; the effect of war, terrorism or catastrophic events; the timing and magnitude of software sales; the timing and scope of technological advances; the integration and performance of acquired businesses; the prospects for future acquisitions; the ability to retain and attract customers and key personnel; and the ability to obtain patent protection and avoid patent-related liabilities in the context of a rapidly developing legal framework for software and business-method patents. SunGard may not be able to complete the FAME acquisition on the terms summarized above or other acceptable terms, or at all, due to a number of factors, including the failure to obtain regulatory approval or the satisfaction of other conditions to closing. The factors described in this paragraph and other factors that may affect SunGard or its ability to complete acquisitions and realize the expected benefits of acquisitions, as and when applicable, are discussed in SunGard's filings with the Securities and Exchange Commission, including its Form 10-K for the year ended December 31, 2002, a copy of which may be obtained from SunGard without charge. SunGard assumes no obligation to update this document as a result of new information or future events.
