DigitalOcean Announces Proposed Public Offering of Common Stock

BROOMFIELD, Colo.--(BUSINESS WIRE)--DigitalOcean Holdings, Inc. (NYSE: DOCN), the Agentic Inference Cloud built for production AI, announced today that it has commenced an underwritten public offering of $700,000,000 of its shares of common stock (the “Offering”). Additionally, DigitalOcean intends to grant the underwriters a 30-day option to purchase up to an additional $105,000,000 of shares of common stock from DigitalOcean. The Offering is subject to market and other conditions, and there can be no assurance as to whether or when the Offering may be completed, or as to the actual size or terms of the Offering.

DigitalOcean intends to use the net proceeds from the Offering (i) to make investments in additional infrastructure capacity, beyond what it has previously communicated, to support customer demand for DigitalOcean’s cloud / AI platform, (ii) to strengthen its balance sheet by paying down its existing Term Loan A, and (iii) for general corporate purposes. DigitalOcean is in advanced discussions to secure this additional data center capacity to support its growth.

J.P. Morgan, Morgan Stanley and BofA Securities are acting as joint book-running managers for the Offering.
