Nuvve Holding Corp. Announces Proposed Public Offering of Common Stock

SAN DIEGO--(BUSINESS WIRE)--Nuvve Holding Corp. (Nasdaq: NVVE) (the “Company” or “Nuvve”), a global leader in vehicle-to-grid (V2G) technology and grid modernization, today announced that it is commencing an underwritten public offering of shares of its common stock (or common stock equivalents). The offering is subject to market conditions, and there can be no assurance as to whether or when the offering may be completed, or as to the actual size or terms of the offering.

Lucid Capital Markets is acting as the sole book-running manager for the offering.

The offering is being made pursuant to a shelf registration statement on Form S-3 (File No. 333-288394) filed with the Securities and Exchange Commission (“SEC”) on June 27, 2025, and declared effective by the SEC on July 7, 2025.
