ALISO VIEJO, Calif.--(BUSINESS WIRE)--The New Home Company Inc. (NYSE: NWHM) (the “Company”) today announced that it has priced a private offering of $250.0 million in aggregate principal amount of 7.25% senior notes due 2025 (the “2025 notes”). The 2025 notes will be issued at an offering price of 100% of their face amount, which represents a yield to maturity of 7.25%. The Company expects to close this offering on October 28, 2020, subject to the satisfaction of customary closing conditions.
The Company intends to use the net proceeds from this offering, together with cash on hand, to fund the redemption of all of the Company’s outstanding 7.25% senior unsecured notes due 2022 and pay related fees and expenses.
The 2025 notes are being offered and sold to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and to non-U.S. persons outside the United States in compliance with Regulation S under the Securities Act.
