Foundation Building Materials Announces Change to a Virtual-Only Meeting Format for 2020 Annual Meeting of Stockholders

SANTA ANA, Calif.--(BUSINESS WIRE)--Foundation Building Materials, Inc. (“FBM” or the “Company”) (NYSE: FBM), one of the largest specialty building products distributors of wallboard, suspended ceiling systems and metal framing in North America, today announced that FBM will host its 2020 annual meeting of stockholders (“Annual Meeting”) on Thursday, May 14, 2020, at 9:00 a.m. Pacific Time in a virtual-only meeting format.

Due to the ongoing public health impact of the coronavirus (COVID-19) pandemic, and in the interest of complying with various public emergency orders and recommendations limiting travel in the conduct of business activity, the Company no longer intends to hold the Annual Meeting in person.

Stockholders of record as of the close of business on March 26, 2020, the record date for the Annual Meeting, can attend the Annual Meeting via the internet at www.virtualshareholdermeeting.com/FBM2020. If you would like to participate in the Annual Meeting, you can do so by using the 16-digit control number included on the proxy card, the voting instruction form or notice previously distributed. If you hold your shares through a bank, securities broker, dealer or other nominee and do not have a control number, please contact the nominee. Stockholders are encouraged to log in to the website by 8:45 a.m. Pacific Time on the day of the Annual Meeting. Stockholders will be able to vote during the Annual Meeting by following the instructions on the meeting website during the Annual Meeting.

Please use this opportunity to take part in the affairs of the Company by voting on the business to come before the Annual Meeting. Whether or not you plan to attend the virtual-only Annual Meeting, the Company urges you to vote and submit your proxy in advance using one of the methods described in the proxy materials for the Annual Meeting. The proxy card included with the proxy materials previously distributed will not be updated to reflect the change to a virtual-only meeting format, but can be used to vote your shares in connection with the Annual Meeting.
