Real Matters Revises Amendment to Advance Notice Provision

TORONTO--(BUSINESS WIRE)--Real Matters Inc. (TSX: REAL) (“Real Matters” or the “Company”), a leading network management services provider for the mortgage lending and insurance industries, announced today that it is further amending the advance notice provision contained in By-Law No. 1-A of the Company (the “ANP”) as included in its management information circular (“Circular”) in respect of its Annual General and Special Meeting on February 7, 2020 (the “Meeting”) to remove subsection 10.24(d)(viii):

“any such other information as the Corporation may reasonably require to determine the eligibility of each nominee to serve as an independent director of the Corporation or that could be material to a reasonable shareholder’s understanding of the independence, or lack thereof, of each nominee.”

The resolution in respect of the ANP to be put before shareholders at the Meeting will be revised to incorporate the above-described amendment. Shareholders are encouraged to review the Circular which provides a detailed discussion of the proposed matters to be considered at the Meeting and which can be found on the Company’s SEDAR profile at www.sedar.com.
