(the “Company” or “Floor & Decor”) (NYSE:FND) today announced the pricing of an underwritten public offering of 10,000,000 shares of common stock of the Company by certain stockholders of the Company, including funds affiliated with Ares Management Corporation (NYSE:ARES) and Freeman Spogli Management Co., L.P. (collectively, the “Selling Stockholders”). The underwriters intend to offer the shares of common stock from time to time for sale in one or more transactions on the New York Stock Exchange, in the over-the counter market, through negotiated transactions or otherwise at market prices prevailing at the time of sale, at prices related to prevailing market prices or at negotiated prices, subject to receipt and acceptance by them and subject to their right to reject any order in whole or in part. In addition, the Selling Stockholders have offered the underwriters a 30-day option to purchase up to 1,500,000 additional shares of common stock. The Company is not selling any shares in this offering and will not receive any proceeds from the sale of the shares by the Selling Stockholders or any exercise of the underwriters’ option to purchase additional shares of common stock.
