(NASDAQ:NAKD) (“Naked”), an innovative fashion and lifestyle brand, Bendon Limited (“Bendon”), a global leader in intimate apparel and swimwear and Naked’s merger partner, and Bendon Group Holdings Limited (“Holdco”), today announced that Naked and Holdco have each filed with U.S. Securities and Exchange Commission (“SEC”) supplemental material (the “Supplement”) that supplements and amends Naked’s definitive proxy statement and Holdco’s prospectus, each dated April 27, 2018 (the “Proxy Statement/Prospectus”), previously sent to Naked’s stockholders in connection with the special meeting of stockholders of Naked. At the special meeting, Naked’s stockholders are expected to vote upon, among other things, the adoption of the Agreement and Plan of Merger, as amended, by and among Naked, Bendon, Holdco and the principal shareholder of Bendon, and the approval of the merger involving Naked contemplated thereby.
The Supplement provides additional information for Naked’s stockholders regarding the proposed business combination, certain developments with respect to Bendon’s capital raising efforts and how those developments may impact the proposed business combination and Naked stockholders. In particular, the Supplement includes information about the number of ordinary shares of Holdco to be issued to former shareholders of Bendon and former stockholders of Naked, which will depend on the amount of additional capital raised by Bendon.
In order to provide Naked’s stockholders additional time to consider the information contained in the Supplement, the special meeting of stockholders of Naked to consider and vote upon the proposed business combination will now be held on June 11, 2018, at 10:00 a.m., Eastern Time, at the offices of Duane Morris LLP, Naked’s counsel, located at 1540 Broadway, 14th Floor, New York, NY 10036. The special meeting was originally scheduled for May 31, 2018, and had been previously announced as being postponed to June 8, 2018.
Stockholders of record at the close of business on April 17, 2018 previously received the definitive proxy statement/prospectus and will be entitled to vote by proxy or in person at the special meeting. Stockholders should review the Supplement and the Proxy Statement/Prospectus and other proxy materials carefully.

Holdco has applied for listing on the Nasdaq Capital Market to be effective at the time of the completion of the business combination.
