NEW YORK--(BUSINESS WIRE)--Kingsdale Advisors, the leading advisor to public companies on all shareholder, governance, and transaction related matters, announces Victor Guo will join the firm as Executive Vice President, Governance Special Situations. Mr. Guo joins Kingsdale Advisors from Institutional Shareholder Services (ISS) where he spent five years, most recently as Vice President of M&A and Proxy Contest Research for the U.S. and Canadian special situations research teams.
“Our governance team has been a key differentiator for Kingsdale. When I founded the firm it was on the premise that we would bring more value to our clients and be thought leaders in our industry. The addition of Victor Guo will play a critical role in our North American expansion given his U.S. and Canadian governance expertise and he is a natural extension of our mission to be the North American shareholder advisory firm of choice,” said Wes Hall, Executive Chairman and Founder of Kingsdale Advisors.
Mr. Guo will co-head Kingsdale Advisors’ industry leading governance team with Victor Li, Executive Vice President, Governance Advisory, who previously led the ISS Canadian Mergers and Acquisitions and Proxy Fight research team before joining Kingsdale Advisors to found its in-house governance team six years ago. Together Mr. Guo and Mr. Li have led, analyzed, and provided vote recommendations on over 150 North American proxy contests, 2000 M&A transactions, and reviewed over 1000 shareholder rights plans.
“Victor Guo has unparalleled M&A, proxy fight, and governance experience making him a sought after advisor and thought leader,” said Amy Freedman, Chief Executive Officer of Kingsdale Advisors. “His insight, perspective, and internal knowledge of ISS U.S. and Canada will prove invaluable to our clients who are looking for certainty of outcome in high-stakes situations.”
“I look forward to bringing my knowledge of U.S. and Canadian governance and special situations to a Kingsdale team that has become the most trusted advisor to boards and management as demonstrated by an unparalleled track record of success,” Mr. Guo said. “Investors are becoming more active and engaging boards in different ways and proxy advisors are constantly raising the bar for issuers. We can help clients encounter this new paradigm and face the new challenges that come with it.”
