Wilson Sonsini Adds Benjamin P. Edwards as Senior Of Counsel in Corporate Governance Practice

Nationally Recognized Corporate Law Scholar and Nevada Law Authority Joins the Firm

LAS VEGAS--(BUSINESS WIRE)--Wilson Sonsini Goodrich & Rosati, the premier provider of legal services to technology, life sciences, and growth enterprises worldwide, today announced that University of Nevada, Las Vegas (UNLV) professor Benjamin P. Edwards has joined the firm as Senior Of Counsel in its Corporate Governance practice. Edwards brings deep experience in corporate governance and Nevada corporate law, strengthening the firm’s offerings for Nevada-incorporated companies.

“Ben combines a distinguished record in securities litigation with extensive knowledge of corporate law and leadership in Nevada,” said Amy Simmerman, chair of Wilson Sonsini’s Corporate Governance practice. “His background enhances our capabilities in advising boards, executives, and board committees on a range of governance matters and represents a logical extension of our national corporate governance team in Delaware and across the country. Based in Nevada, he will help us continue to deliver seamless, integrated counsel to our clients.”

Edwards joins Wilson Sonsini while continuing as Associate Dean for Faculty Research and Development and Professor of Law at UNLV’s William S. Boyd School of Law. In this capacity, he has made significant contributions to the development of Nevada’s corporate law and its supporting legal infrastructure. His thought leadership has appeared in top law reviews and national publications, including The Wall Street Journal and The Washington Post, among others.

“Ben’s addition to our corporate governance team reflects our continued commitment to delivering the sophisticated legal advice clients need,” said Allison Spinner, head of Wilson Sonsini’s Corporate Department. “His broad corporate governance knowledge and related litigation experience will benefit companies, boards, and management teams that rely on trusted counsel to quickly and confidently assess potential risks and rewards.”

“I’m thrilled to join Wilson Sonsini and work alongside a truly stellar corporate governance team,” said Edwards. “With Nevada playing an increasingly significant role in the corporate ecosystem, I look forward to advising clients incorporated in the state and helping them approach governance decisions thoughtfully, strategically, and with a long-term perspective.”

Before entering academia, Edwards practiced at Skadden, Arps, Slate, Meagher & Flom LLP in New York, representing clients in complex civil litigation, including securities class actions arising from the Madoff Ponzi scheme and matters connected to the 2008 financial crisis. Earlier, he clerked for the Honorable Samuel H. Mays, Jr. at the U.S. District Court for the Western District of Tennessee.

Edwards earned his J.D. from Columbia Law School, where he was a Harlan Fiske Stone Scholar and Kent Scholar, and his B.A. in Philosophy, magna cum laude, from the University of South Carolina Honors College, where he was elected Phi Beta Kappa.

Wilson Sonsini’s Corporate Governance practice works closely with boards, executives, and special committees of leading public and private companies to tackle complex legal, strategic, and regulatory challenges. With its proficiency in governance matters and multidisciplinary experience across securities law, M&A, litigation, and executive compensation, Wilson Sonsini provides integrated guidance that aligns risk management, compliance, and business objectives. From crisis response to stockholder disputes, its attorneys help clients navigate sensitive governance matters with clarity, confidence, and authoritative foresight.
