Lifepoint Health, Inc. Announces Proposed $600 Million Senior Secured Notes Offering

BRENTWOOD, Tenn.--()--Lifepoint Health, Inc. (the “Company”) today announced that is proposing to issue $600 million aggregate principal amount of senior secured notes due 2030 (the “Notes”) in a private offering that is exempt from the registration requirements of the Securities Act of 1933, as amended (the “Securities Act”). The offering is subject to market conditions and other factors.

The Notes will initially be fully and unconditionally guaranteed by all of the Company’s subsidiaries that guarantee (collectively, the “Guarantors”) the Company’s outstanding senior secured term loan credit facility (the “Term Loan Facility”) and the Company’s senior secured notes and senior unsecured notes. The Notes and related guarantees will be secured by a first-priority security interest in the notes priority collateral, which generally includes most inventory and fixed assets of the Company and the Guarantors and which assets also secure the Term Loan Facility and outstanding senior secured notes on a first-priority basis and the Company's senior secured asset-based revolving credit facility (the “ABL Facility”) on a second-priority basis, and a second-priority security interest in ABL priority collateral, which generally includes most accounts receivable and certain other receivables of the Company and the Guarantors and which assets also secure the ABL Facility on a first-priority basis and the Term Loan Facility and outstanding senior secured notes on a second-priority basis.

The Company intends to use the net proceeds from the offering, together with cash on hand, to repurchase or redeem all of the Company’s outstanding 6.750% Senior Secured Notes due 2025 (the “2025 Notes”) and to pay related fees and expenses.

The Notes are being offered only to persons reasonably believed to be qualified institutional buyers in reliance on Rule 144A under the Securities Act, and outside the United States, only to non-U.S. investors pursuant to Regulation S under the Securities Act. The Notes will not be registered under the Securities Act or any state securities laws and may not be offered or sold in the United States absent an effective registration statement or an applicable exemption from registration requirements or a transaction not subject to the registration requirements of the Securities Act or any state securities laws.
