Notes

¹ The awards are in the form of a nil-cost option and no monetary consideration was paid for the awards. The awards are subject to the satisfaction of performance conditions. The remuneration committee has decided that the awards will be based on the following performance conditions:

- two-thirds on the extent to which the Company’s adjusted earnings per share in respect of the financial year ended on or around 31 March 2025 exceed the same measure for the financial period ended 28 March 2022; and

- one-third on total shareholder return relative to a comparator group of the Company’s peers.

The remuneration committee believes that the selection of the above performance conditions will ensure that the vesting outcome is fully aligned with the shareholder experience. Further information about the plan is provided on pages 74 and 138 of the Company’s 2022 Annual Report.

² This award is equivalent to 100% of base salary. The award will vest and become exercisable subject to continued employment with the Company and the extent to which performance conditions are met.
