Home Capital Group Inc. Announces Annual and Special Meeting Voting Results and Appointment of Paul Derksen as Chair of the Board of Directors

TORONTO--()--Home Capital Group Inc. (“Home Capital” or “the Company”) (TSX: HCG) today announced voting results from its Annual and Special Meeting of Shareholders (AGM) held on Wednesday, May 16, 2018 in Toronto, Ontario.

The total number of shares represented by shareholders present in person and by proxy was 54,848,907 representing 68.35% of Home Capital’s issued and outstanding Common Shares. Shareholders voted in favour of all items of business put forth at the meeting as follows:

Election of Directors

Each of the director nominees listed in the Management Information Circular for the 2018 AGM was elected as a director of Home Capital to serve until the next annual meeting of shareholders of the Company or until his or her successor is elected or appointed:

Appointment of Chair of the Board

Following his election to the Board at the AGM, Paul W. Derksen was appointed Chair of the Board. Mr. Derksen has extensive financial services experience, having previously served as the Chief Financial Officer for Sun Life Financial and CT Financial Services. Mr. Derksen currently is the Lead Director of CI Financial and has served on the boards of a number of private and charitable organizations. He holds a CPA, CA designation.

Shareholder Advisory Resolution on Approach to Executive Compensation

The advisory resolution on the Company’s approach to executive compensation was approved:
