Palace Bidco Oy (“WSIP Bidco”) Announces the Final Number of Shares Tendered During the Initial Acceptance Period of the Recommended Cash Offer to the Shareholders of Adapteo Plc (“Adapteo”)

 

LONDON--()--This announcement is not an offer, whether directly or indirectly, in Australia, Canada, Hong Kong, Japan, New Zealand or South Africa or in any other jurisdiction where such offer pursuant to legislation and regulations in such relevant jurisdiction would be prohibited by applicable law. Shareholders not resident in Sweden or Finland who wish to accept the Offer (as defined below) must make inquiries concerning applicable legislation and possible tax consequences. Shareholders should refer to the offer restrictions included in the section titled “Important information” at the end of this announcement and in the offer document which was published on 23 June 2021.

On 17 May 2021, WSIP Bidco, a private limited liability company formed on behalf of, and indirectly wholly owned by, West Street Global Infrastructure Partners IV, L.P., announced a recommended public cash offer to the shareholders of Adapteo to tender all their shares in Adapteo to WSIP Bidco (the “Offer”). WSIP Bidco offers SEK 165 in cash per Adapteo share.

On 17 August 2021, WSIP Bidco announced that the Offer had been accepted by shareholders holding approximately 93.7% of the total number of shares and votes in Adapteo (excluding 33,360 shares held by Adapteo in treasury) and that the Offer was declared unconditional.

All acceptances have now been counted. As at the expiry of the initial acceptance period of the Offer on 16 August 2021, the Offer had been accepted by shareholders holding in total 46,236,244 shares, corresponding to approximately 94.18% of the total number of shares and votes in Adapteo (excluding 33,360 shares held by Adapteo in treasury). WSIP Bidco has not acquired any Adapteo shares or financial instruments that give financial exposure to the Adapteo shares outside the Offer. Settlement in respect of Adapteo shares tendered no later than 16 August 2021 is expected to occur on or around 25 August 2021.

As previously announced, WSIP Bidco has decided to extend the acceptance period until 16.00 CEST on 6 September 2021 to enable Adapteo shareholders who have not yet accepted the Offer to accept the Offer. Settlement in respect of shares tendered during the extended acceptance period is expected to occur on or around 15 September 2021.

WSIP Bidco intends to initiate a compulsory acquisition procedure in respect of the remaining shares in Adapteo under the Finnish Companies Act. In connection therewith, WSIP Bidco will act in furtherance of a delisting of the Adapteo shares from Nasdaq Stockholm.
