CIRI Announces Denis Jasmin as New Board Chair and Elects New Directors

TORONTO--()--The Canadian Investor Relations Institute (CIRI), Canada’s national association representing investor relations professionals, announced the election of Denis Jasmin as Chair of the CIRI Board of Directors for a two-year term. Mr. Jasmin is Vice President, Investor Relations at SNC-Lavalin Group Inc. He succeeds Brian Ector who will remain on the Board as Past Chair.

Mr. Jasmin is a Chartered Accountant with 30 years of experience in auditing, finance, and accounting, primarily in management positions. He joined SNC-Lavalin in 2000 as Assistant Corporate Controller in the Finance Department. In this position, Mr. Jasmin was responsible for preparing the company’s annual and quarterly reports, revising financial analyses for acquisitions and investments, and for the financial aspects of strategic planning. Five of the six annual reports written under his direction have garnered awards. In June 2007, Mr. Jasmin was promoted to Vice-President, Investor Relations. In 2011, under his leadership, SNC-Lavalin Group received an honourable mention for the Grand Prix for Best Overall Investor Relations Mid-Cap at the annual IR Awards. Mr. Jasmin was nominated Best Investor Relations Officer Mid-Cap at the 2011, 2012 and 2018 annual IR Awards. He is a member of the Chartered Professional Accountants of Canada and a member of the Canadian Investor Relations Institute. He has most recently served as Vice-Chair, Audit Committee Chair and Treasurer of the Canadian Investor Relations Institute National Board and has served as a Director since 2014. Mr. Jasmin also served as a director of 407 International Inc. since 2016.

CIRI members also elected Gregory Dilworth, Vice President of Investor Relations, Sun Life Financial Inc.; Monica Hamm, Vice President, Investor Relations, Zinc One Resources Inc. and Silver One Resources Inc.; and Carol Hansell, Founding Partner, Hansell LLP.

Mr. Dilworth is the Vice President of Investor Relations at Sun Life Financial where he is responsible for the development and execution of a comprehensive investor-targeting program, as well as the communication strategy with the investment community regarding the company’s financial performance, business operations and strategies for growth. He has been with Sun Life since 2001 and has held a number of roles in various business and corporate areas, including finance, investor relations and corporate reporting and analysis. In his most recent role, he was responsible for Sun Life’s Canadian Individual Insurance and Wealth division’s accounting control framework and for financial reporting and analysis of the business unit's insurance and wealth activities. Mr. Dilworth is a CPA, CMA and holds an MBA from Wilfrid Laurier University.

Ms. Hamm joined Silver One and Zinc One as Vice President, Investor Relations in October 2017. Previously, she worked for Entrée Gold Inc. for approximately 12 years as Senior Manager, Investor Relations & Communications before the company completed a spin out of its assets. Ms. Hamm has more than 20 years combined experience in investor relations, business development, project management and marketing in the mining and environmental lab sectors. She holds a Bachelor of Science in geology and started her career in the environmental lab industry working as an inorganic analyst in southern California.

Ms. Hansell is the Founding Partner of Hansell LLP, providing expert independent legal and governance advice to boards of directors, shareholders, management teams and regulators. Her firm is regularly engaged on matters that include special committee mandates, board investigations, governance reviews and shareholder engagement. Ms. Hansell currently serves on the boards of Munich Reinsurance Company of Canada, Life Storage, Inc. (NYSE: LSI) and the American College of Governance Counsel. She has served on the boards of a number of other organizations, including the Bank of Canada and the Public Sector Pension Investment Board. Ms. Hansell has been involved in governance education and thought leadership throughout her career. She is the author of a best-selling book for directors and a four-volume loose-leaf service. Ms. Hansell served as the only non-American Chair of the Corporate Governance Committee of the American Bar Association (Business Law Section) and continues to serve as Special Canadian Advisor to the Corporate Laws Committee of the ABA. She is an instructor in the ICD-Rotman Directors Education Program and the CIRI Investor Relations Certification Program. Ms. Hansell is a Fellow of the Institute of Corporate Directors and the American College of Governance Counsel. She is also the Chair of the Business Law Advisory Council, appointed by the Province of Ontario.

Chaya Cooperberg, Chief Communications Officer and Senior Vice President, Corporate Affairs, AmTrust Financial Services, Inc.; Sandra Daycock, Director, Corporate Development, Methanex Corporation; and Elisa Schupp, Vice President, Channels & Strategic Sales, Cision Canada Inc. are retiring from the Board. All of these individuals have dedicated their time volunteering for the organization and have made a tremendous contribution.
