(“Hilton” or the “Company”) announced today that the underwriters exercised in full their option to purchase an additional 6,000,000 shares of Hilton common stock at an exercise price of $73.00 per share in connection with the previously announced offering of 60,000,000 shares of Hilton common stock by a selling stockholder affiliated with HNA Tourism Group Co., Ltd. (“HNA”). The closing of the option is expected to occur on April 13, 2018, concurrently with the closing of the offering, subject to the satisfaction of customary closing conditions. Following the closing of the offering and the previously announced repurchase by Hilton of an aggregate of 16,500,000 shares directly from the selling stockholder, HNA will no longer beneficially own any shares of Hilton’s common stock.
Hilton did not offer any shares of common stock in the offering and will not receive any proceeds from the sale of shares in this offering. In addition, none of Hilton’s officers or directors sold any shares of common stock beneficially owned by them in the offering.
