Schrödinger Announces Pricing of Public Offering

NEW YORK--()--Schrödinger, Inc. (the “Company”) (Nasdaq: SDGR), whose differentiated, physics-based software platform enables discovery of high-quality, novel molecules for drug development and materials applications, today announced the pricing of an underwritten public offering of 5,000,000 shares of its common stock at a public offering price of $66.00 per share. The offering consists of 4,500,000 shares being sold by the Company and 500,000 shares being sold by a selling stockholder, resulting in aggregate gross proceeds of $297.0 million to the Company and $33.0 million to the selling stockholder. The offering is expected to close on or about August 17, 2020, subject to the satisfaction of customary closing conditions. In addition, the Company has granted the underwriters a 30-day option to purchase up to 750,000 additional shares of common stock at the public offering price, less underwriting discounts and commissions.

Morgan Stanley, BofA Securities, Jefferies and BMO Capital Markets are acting as joint book-running managers for the offering.
