Mr. Guo joins Kingsdale Advisors from Institutional Shareholder Services (ISS) where he spent five years, most recently as Vice President of M&A and Proxy Contest Research for the U.S. and Canadian special situations research teams.

Mr. Guo will co-head Kingsdale Advisors’ industry leading governance team with Victor Li, Executive Vice President, Governance Advisory, who previously led the ISS Canadian Mergers and Acquisitions and Proxy Fight research team before joining Kingsdale Advisors to found its in-house governance team six years ago. Together Mr. Guo and Mr. Li have led, analyzed, and provided vote recommendations on over 150 North American proxy contests, 2000 M&A transactions, and reviewed over 1000 shareholder rights plans.

Victor Guo is a veteran in corporate
governance advisory with special focus on shareholder activism and
contested situations. Prior to joining Kingsdale, Victor was Vice
President of M&A and Proxy Contest Research for both of Institutional
Shareholder Services Inc.’s U.S. and Canadian research teams where he
covered and provided vote recommendations for over 80 North American
proxy contests as well as more than 1000 M&A transactions to
institutional clients during his 5-year tenure at ISS. Victor was the
Canadian M&A lead for ISS Canada where he assembled and trained the ISS
Canadian M&A research team. Prior to ISS, Victor had worked in both
investment banking and economic consulting. Victor holds an MBA in
Finance and Blue Ocean Strategy from INSEAD and a Bachelor of Commerce
degree (Double Specialist in Commerce & Finance and Economics, Minor in
Mathematics) from the Rotman School of Management at the University of
Toronto. Victor is a CFA charterholder.
