The Complaint states that throughout the Class Period, Natus issued materially false and/or misleading statements, as well as failed to disclose material adverse facts about its business, operations, and prospects, including that: the government of Venezuela could not render tens of millions of dollars in prepayments to Natus, required in October 2015; that Natus did not hold the means to effectively enforce its rights under its supply contract; Natus’ revenues related to the supply contract were dependent on the outcome of Venezuelan elections; and as therefore, Natus could not effectively achieve the increased guidance offered by Defendants, which lacked a reasonable basis.
