The Complaint alleges that throughout the Class Period, defendants made materially false and misleading statements, and omitted materially adverse facts, about the Company’s business, operations and prospects. As a result of defendants’ alleged false and misleading statements, the Company’s stock traded at artificially inflated prices during the Class Period.

According to the Complaint, after the market closed on October 26, 2015, the Company reduced its third quarter guidance by more than 60%, announcing that it expected diluted earnings per share, excluding transaction expenses, to be between $0.14 and $0.17 per share.

On this news, shares in Roadrunner dropped over 47%, closing at $9.34 per share on October 27, 2014, on heavy trading volume.
